分期付款买卖设备协议

分期付款买卖设备协议合同编号：__________parties：hereinafterreferredtoasthe"seller"andthe"buyer".agreement：1.saleofequipment1.1theselleragreestosellandthebuyeragreestobuytheequipmentdescribedintheattachedschedule("equipment")onthetermsandconditionssetforthinthisagreement.1.2thebuyeragreestopaythepurchasepricefortheequipmentinthemannerandonthetermssetforthinthisagreement.2.purchaseprice2.1thepurchasepricefortheequipmentshallbethetotalamountsetforthintheattachedschedule.2.2thebuyershallpaythepurchasepricefortheequipmentinthemannerandonthetermssetforthinthisagreement.3.paymentterms3.1thebuyershallmakethefirstpaymentofthepurchasepricefortheequipmentwithin30daysafterthesigningofthisagreement.3.2thebuyershallmakethesecondpaymentofthepurchasepricefortheequipmentwithin60daysafterthesigningofthisagreement.3.3thebuyershallmakethethirdpaymentofthepurchasepricefortheequipmentwithin90daysafterthesigningofthisagreement.3.4thebuyershallmakethefourthandfinalpaymentofthepurchasepricefortheequipmentwithin120daysafterthesigningofthisagreement.4.deliveryofequipment4.1theselleragreestodelivertheequipmenttothebuyeratthelocationsetforthintheattachedscheduleonorbeforethedeliverydatesetforthintheattachedschedule.4.2thebuyeragreestoacceptdeliveryoftheequipmentatthelocationsetforthintheattachedscheduleonthedeliverydatesetforthintheattachedschedule.5.warranty5.1thesellerwarrantsthattheequipmentisfreefromdefectsinmaterialsandworkmanshipforaperiodof12monthsfromthedateofdelivery.5.2theseller'swarrantydoesnotcovernormalwearandtear,oranydamageresultingfrommisuse,abuse,orneglect.5.3theseller'swarrantyisvoidiftheequipmentisnotused,stored,ormaintainedinaccordancewiththeseller'sinstructions.6.indemnification6.1thebuyeragreestoindemnifyandholdthesellerharmlessfromanyandallclaims,demands,actions,liabilities,losses,damages,andexpenses(includingattorney'sfees)arisingoutoforinconnectionwiththeuse,operation,ormaintenanceoftheequipment.7.termination7.1eitherpartymayterminatethisagreementatanytimeforanyreasongivingwrittennoticetotheotherparty.7.2uponterminationofthisagreement,thebuyershallpaytotheselleralloutstandingamountsdueandpayableunderthisagreement.8.general8.1thisagreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.8.2thisagreementmaybeamendedormodifiedonlyawritteninstrumentexecutedbothparties.8.3ifanyprovisionofthisagreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,orenforceabilityoftheremainingprovisionsshallnotinanywaybeaffectedorimpaired.8.4thisagreementshallbegovernedandconstruedinaccordancewiththelawsofthestateofnewyork.inwitnesswhereof,thepartieshaveexecutedthisagreementasofthedatefirstabovewritten.一、附件列表：1.设备详细描述表2.付款计划表3.交付地点和日期表二、违约行为及认定：1.卖方未能按照约定时间交付设备，或交付的设备与描述不符。2.买方未能按照约定的付款时间和方式支付购买价格。3.设备在使用过程中出现由于卖方产品质量问题导致的故障。4.双方未能就合同的修改或终止达成一致。三、法律名词及解释：1.分期付款：买方按照约定的时间和方式，分多次支付购买价格的方式。2.设备：指合同中描述的用于买卖的物品。3.违约：指未能履行合同中约定的义务。4.赔偿：指因违约行为而需要支付的补偿。四、执行中遇到的问题及解决办法：1.设备交付延迟：卖方应提前通知买方延迟原因，并与买方协商解决办法，如协商无果，卖方应承担相应的违约责任。2.设备质量问题：卖方
