股票离婚分配协议范本合同编号：__________stockdivorceallocationagreementThisstockdivorceallocationagreement(the"Agreement")isenteredintoasof__________(the"EffectiveDate"),andbetween____________________________(the"Spouse1")and____________________________(the"Spouse2").RECITALS:WHEREAS,Spouse1andSpouse2aretheshareholdersof_______________________("Company"),whichisacorporationorganizedandexistingunderthelawsofthe_______________________("Jurisdiction");WHEREAS,Spouse1andSpouse2aremarriedtoeachotherandarecontemplatingadivorce(the"Divorce");WHEREAS,bothSpouse1andSpouse2desiretosettleandresolveallmattersrelatedtothedivisionoftheirinterestsintheCompanyasaresultoftheDivorce;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thepartiesheretoagreeasfollows:1.DivisionofShares1.1.AsofthedateofthisAgreement,Spouse1andSpouse2eachown_______________%(the"OwnershipPercentage")oftheissuedandoutstandingsharesoftheCompany.1.2.InconnectionwiththeDivorce,Spouse1andSpouse2hereagreetodividetheirrespectiveownershipinterestsintheCompanyasfollows:(a)Spouse1shalltransferandconveytoSpouse2anaggregateof_______________sharesoftheCompany(the"TransferredShares"),andSpouse2shallacceptsuchTransferredShares;(b)inconsiderationfortheTransferredShares,Spouse2shallpaytoSpouse1thesumof_______________(the"Consideration"),whichshallbepaidintheformofcash,apromissorynote,orsuchotherconsiderationasthepartiesmayagree;(c)uponthetransferoftheTransferredShares,Spouse2shallhavetherighttovotetheTransferredSharesinaccordancewiththeCompany'sgoverningdocumentsandapplicablelaw;(d)Spouse1shallcontinuetoowntheremaining_______________%oftheissuedandoutstandingsharesoftheCompany,andSpouse2shallhavenofurtherinterestinsuchremainingshares.1.3.ThepartiesheretoacknowledgeandagreethatthedivisionoftheirownershipinterestsintheCompanysetforthinthisAgreementisinlieuofanyotherclaimtopropertyorassetsthateitherpartymayhaveagainsttheother,eithernoworinthefuture,arisingoutoforinconnectionwiththeirmaritalrelationshiportheDivorce.2.RepresentationsandWarranties2.1.EachofSpouse1andSpouse2representsandwarrantstotheotherthat:(a)heorshehasthelegalcapacitytoenterintothisAgreementandtoperformhisorherobligationshereunder;(b)heorsheisthesoleandexclusiveowneroftheTransferredShares,andhasgoodandmarketablethereto,freeandclearofanyliens,encumbrances,orinterestsofanythirdparties;(c)theTransferredSharesaredulyauthorized,validlyissued,andfullypaidandnonassessable;(d)therearenooutstandingoptions,warrants,convertiblesecurities,orotherrightsoragreementsofanycharactertowhichtheCompanyisapartyorwhichitisboundthatwouldenanypersontoacquireanyinterestinorvotingrightswithrespecttotheTransferredShares;(e)heorshehasnottakenanyaction,norhasheorshefailedtotakeanyaction,thatwouldresultintheimpositionofanymaterialliabilityupontheCompanyoranyofitssubsidiariesoraffiliates;(f)heorsheisnotapartytoanycontract,agreement,orunderstandingwithanyotherpersonorentitythatwouldlimit,restrict,orimpedehisorherabilitytoperformhisorherobligationsunderthisAgreement;(g)heorshehasnottransferredorassignedanyofhisorherrightsorinterestsunderthisAgreementwithoutthepriorwrittenconsentoftheotherparty;and(h)heorshehasprovidedtheotherpartywithallinformationregardingtheTransferredSharesandtheCompanythatisnecessaryfortheotherpartytomakeaninformeddecisionregardingthisAgreement.2.2.Spouse1andSpouse2acknowledgeandagreethattherepresentationsandwarrantiessetforthinthisAgreementarefundamentaltotheagreementofthepartiesandthattheotherpartyisrelyingonsuchrepresentationsandwarrantiesinenteringintothisAgreement.一、附件列表：1.股票离婚分配协议范本2.公司章程3.股东名册4.离婚法律文件5.税务文件6.银行账户信息7.股票转让证明8.Consideration支付凭证二、违约行为及认定：1.违反协议条款：未能按照协议约定的条款履行义务。2.未按时支付Consideration：未能在约定的时间内支付约定的款项。3.未履行股权转让：未能按照协议约定完成股权转让。4.干扰公司运营：任何一方采取干扰公司正常运营的行为。5.未经同意转让股份：任何一方未经另一方同意擅自转让其股份。三、法律名词及解释：1.股票离婚分配协议：夫妻离婚时，就其持有的公司股份分配达成的协议。2.股东：公司的所有者，持有公司股份的个人或实体。3.股权转让：股东将其持有的股份全部或部分转让给他人的行为。4.Consideration：在股权转让中，转让方获得的补偿，可以是现金、债务或其它形式的利益。5.离婚：夫妻双方依法解除婚姻关系的行为。四、执行中遇到的问题
