THISAGREEMENTismadeonthe______dayof______,20__.

BETWEEN:

1.[SellerName],acompanyincorporatedunderthelawsof[Country],havingitsregisteredofficeat[Address](hereinafterreferredtoasthe"Seller"),and

2.[BuyerName],acompanyincorporatedunderthelawsof[Country],havingitsregisteredofficeat[Address](hereinafterreferredtoasthe"Buyer").

WHEREAS:

TheSellerisengagedinthebusinessofmanufacturingandsellingvarioustypesofhomeappliances,andtheBuyerwishestopurchasecertainhomeappliancesfromtheSeller.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:

1.SaleofGoods

1.1TheSelleragreestosell,andtheBuyeragreestopurchase,thehomeappliances(hereinafterreferredtoasthe"Products")asdetailedinthepurchaseorderattachedheretoasScheduleA(the"PurchaseOrder").

1.2TheProductsshallbeofthequality,specifications,andstandardsasdescribedinthePurchaseOrderandshallbeinaccordancewiththeSeller'slatestpublishedcatalogueorasotherwiseagreedinwritingbetweentheparties.

2.PriceandPayment

2.1ThepurchasepricefortheProducts(the"PurchasePrice")shallbeasstatedinthePurchaseOrderandshallbeexclusiveofanyapplicabletaxes,duties,levies,orcharges.

2.2TheBuyershallpaythePurchasePricetotheSellerinaccordancewiththepaymenttermsspecifiedinthePurchaseOrder,whichshallbeduewithin[number]daysfromthedateoftheinvoiceissuedbytheSeller.

3.Delivery

3.1TheSellershalldelivertheProductstotheBuyeratthelocationspecifiedinthePurchaseOrder(the"DeliveryLocation")within[number]daysfromthedateofthePurchaseOrder.

3.2TheBuyershallberesponsibleforinspectingtheProductsupondeliveryandshallnotifytheSellerinwritingwithin[number]daysofanydefectsordiscrepancies.

4.Warranty

4.1TheSellerwarrantsthattheProductsshallbefreefromdefectsinmaterialandworkmanshipundernormaluseandserviceforaperiodof[number]yearsfromthedateofdelivery.

4.2TheSellershall,atitsoption,repairorreplaceanyProductswhicharefoundtobedefectivewithinthewarrantyperiod,providedthattheBuyerhascompliedwiththenotificationrequirementssetforthinClause3.2.

5.IntellectualPropertyRights

5.1TheSellerretainsallintellectualpropertyrightsintheProducts,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets.

5.2TheBuyershallnot,withoutthepriorwrittenconsentoftheSeller,useanyoftheSeller'sintellectualpropertyforanypurposeotherthanasexpresslypermittedinthisAgreement.

6.Confidentiality

6.1TheBuyershallkeepconfidentialallinformationrelatingtotheProductsandthebusinessoftheSeller,andshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheSeller.

7.Termination

7.1EitherpartymayterminatethisAgreementbywrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermofthisAgreementandfailstoremedysuchbreachwithin[number]daysafterreceivingwrittennoticeofsuchbreach.

8.GoverningLaw

8.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Country].

9.DisputeResolution

9.1AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution],andthedecisionofthearbitratorshallbefinalandbindingonbothparties.

10.EntireAgreement

10.1ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriornegotiations,understandings,andagreements,whetherwrittenororal.

INWITNESSWHEREOF,thepartieshaveexecutedthisAgreementasofthedatefirstabovewritten.
