2024房产买卖合同英文合同编号:__________ContractfortheSaleandPurchaseofRealEstateThisContractfortheSaleandPurchaseofRealEstate(the"Contract")ismadeandenteredintoasofthis_____dayof____________,2024(the"EffectiveDate"),andbetween:[Buyer'sFullName],withanaddressat[Buyer'sAddress](the"Buyer"),and[Seller'sFullName],withanaddressat[Seller'sAddress](the"Seller").RECITALS:WHEREAS,theSelleristhesellerandlegalowneroftherealestatelocatedat[PropertyAddress](the"Property");WHEREAS,theBuyerwishestopurchasethePropertyfromtheSeller;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thepartiesheretoagreeasfollows:ARTICLE1:DEFINITIONS1.1.Definitions.Thefollowingterms,whenusedinthisContract,shallhavethemeaningsassignedtotheminthisArticleorasotherwisedefinedelsewhereinthisContract:(a)"Closing"shallmeantheclosingofthesaleandpurchaseofthePropertycontemplatedthisContract.(b)"ClosingDate"shallmeanthedateuponwhichtheClosingshalloccur,assetforthinArticle4.(c)"EscrowAgent"shallmeantheescrowagentdesignatedtoholdthefundsanddocumentsrelatedtothesaleandpurchaseoftheProperty.(d)"PurchasePrice"shallmeanthetotalpurchasepricefortheProperty,assetforthinArticle2.(e)"Property"shallmeantherealestatelocatedat[PropertyAddress],togetherwithallappurtenancesandimprovementsthereto.(f)"Seller"shallmeanthesellerandlegalowneroftheProperty.(g)"Buyer"shallmeanthepurchaseroftheProperty.ARTICLE2:PURCHASEPRICEANDPAYMENT2.1.PurchasePrice.TheBuyeragreestopurchasethePropertyforatotalPurchasePriceof[$$$].2.2.EarnestMoney.TheBuyershalldepositwiththeEscrowAgent,within[numberofdays]aftertheEffectiveDate,anEarnestMoneydepositintheamountof[$$$],asevidenceoftheBuyer'sgoodfaithintentiontopurchasetheProperty.2.3.PaymentofPurchasePrice.TheremainingbalanceofthePurchasePriceshallbepaidtheBuyertotheSellerattheClosing,subjecttoadjustmentsasprovidedinthisContract.ARTICLE3:CONDITIONSTOCLOSING3.1.Seller'sConditions.TheSeller'sobligationsunderthisContractareconditionaluponthefulfillmentofthefollowingconditionstheBuyer:(a)TheBuyer'stimelydepositoftheEarnestMoneywiththeEscrowAgent.3.2.Buyer'sConditions.TheBuyer'sobligationsunderthisContractareconditionaluponthefulfillmentofthefollowingconditionstheSeller:(a)TheSeller'scontinuingownershipofthePropertyandtheSeller'srighttoselltheProperty.(c)ThePropertybeingfreeandclearofanyliens,encumbrances,orclaims,exceptasotherwisedisclosedinthisContract.ARTICLE4:CLOSING4.1.ClosingDate.TheClosingshalltakeplaceon[date],orsuchotherdateandtimeasthepartiesmaymutuallyagree(the"ClosingDate").4.2.PlaceofClosing.TheClosingshalltakeplaceattheofficesoftheEscrowAgent.4.3.TransactionDocuments.AttheClosing,thepartiesshallexecuteanddeliverallnecessarydocuments,including,butnotlimitedto,thefollowing:(a)Adeedorconveyanceinstrument,inrecordableform,conveyingthePropertyfromtheSellertotheBuyer.(b)EvidenceofthereleaseofanyexistingliensorencumbrancesontheProperty.(c)ThePurchasePrice,lessanyadjustmentsorcredits,payabletheBuyertotheSeller.(d)Suchotherdocumentsasmayberequiredlaw一、附件列表:1.买卖房产的实体证明文件2.买方和卖方的身份证明文件3.房产的权利证明文件4.房产的评估报告5.融资或贷款承诺文件6.房产的调查报告7.买卖双方签订的额外协议或修正案二、违约行为及认定:1.买方未能按时支付定金或剩余购房款2.卖方未能按时提供无瑕疵的房产3.卖方未能履行合同中的任何其他条款4.买方未能履行合同中的任何其他条款5.任何一方提供的信息不真实或误导对方6.未能在约定时间内完成过户手续7.未能在约定时间内解除房产上的任何押记或其他债权三、法律名词及解释:1.定金:买方为确保履行购买房产的义务而支付的一笔钱。2.过户:将房产的所有权从卖方转移到买方的法律程序。3.押记:对财产的一种债权,通常需要在房产登记处登记。4.评估报告:对房产价值、状况和潜在问题的专业评估。5.无瑕疵房产:没有structuralissues或damage的房产。6.融资或贷款承诺:金融机构承诺在特定条件下向买方提供融资或贷款。四、执行中遇到的问题及解决办法:1.买方资金不足提前与金融机构沟通,确保买方获得足够的融资或贷款。2.房产状况不佳在合同中加入房屋检查条款,确保房产符合约定的条件。3.过
