居间合同英文模板2024年IntermediaryServiceAgreement(2024Edition)PartyA(Client):_______________________Address:_______________________LegalRepresentative:_______________________ContactNumber:________________________PartyB(Intermediary):_______________________Address:_______________________LegalRepresentative:_______________________ContactNumber:________________________Article12:Attachments12.1TheattachmentstothisAgreementareanintegralpartofthisAgreementandhavethesamelegaleffectastheAgreement.12.2Thelistofattachmentsisasfollows:-Attachment1:CopyofPartyA'sbusinesslicenseandlegalrepresentative'sidentityproofdocument;-Attachment2:CopyofPartyB'sbusinesslicenseandlegalrepresentative'sidentityproofdocument;-Attachment3:PowerofAttorneyfromPartyA;-Attachment4:PowerofAttorneyfromPartyB;-Attachment5:Detaileddescriptionandrequirementsofintermediaryservices.Article13:BreachofContractandDetermination13.1Breachofcontractincludesbutisnotlimitedto:-PartyBfailingtoprovideintermediaryservicesasagreed;-PartyAfailingtopaytheintermediaryremunerationasagreed;-Eitherpartydisclosingbusinesssecretsinviolationoftheconfidentialityclause.13.2Determinationofbreachofcontract:-PartyBfailstoprovideintermediaryserviceswithintheagreedtime,andstillfailstoperformafterbeingurgedinwritingbyPartyA;-PartyAfailstopaytheintermediaryremunerationafterPartyBsuccessfullyintroducesatransaction,andstillfailstopayafterbeingurgedinwritingbyPartyB;-Eitherpartydisclosesbusinesssecrets,andstillfailstostopafterbeingurgedinwritingbytheotherparty.Article14:LegalTermsandDefinitions14.1Intermediaryservices:ReferstoservicesprovidedbyPartyBtoPartyA,includinginformationprovision,transactionmatching,andconsultingadvice,basedonPartyA'sneeds.14.2Intermediaryremuneration:ReferstotheremunerationpaidbyPartyAtoPartyBfortheintermediaryservicesprovided.14.3Businesssecrets:Referstotechnicalinformationandbusinessinformationthatisnotknowntothepublic,canbringeconomicbenefitstoPartyAorPartyB,haspracticality,andhasbeenkeptconfidentialbyPartyAorPartyB.14.4Authorizedrepresentative:ReferstothepersondesignatedbyPartyAorPartyBtosigncontractsandrelateddocumentsontheirbehalf.Article15:ProblemsEncounteredinImplementationandSolutions15.1Problemsthatmaybeencounteredduringimplementationincludebutarenotlimitedto:-PartyBencountersobstaclesinprovidingintermediaryservicesandisunabletocontinueperformingtheservices;-PartyAdecidestoterminatethetransactionduetomarketchangesorotherreasons;-Thepartieshavedifferentunderstandingsofthescopeandqualityofintermediaryservices.15.2Solutions:-PartyBshouldpromptlynotifyPartyAandproposeasolutionornegotiatechangestotheservicecontent;-PartyAshouldnegotiatewithPartyBtoclarifytheconditionsandconsequencesofterminatingthetransaction;-Thepartiesshouldnegotiatetoresolvedifferencesinthescopeandqualityofservices,andmayseekthird-partyprofessionalopinionsifnecessary.Article16:AllApplicationScenarios16.1ThisAgreementappliestoallthefollowingapplicationscenarios:-WhenPartyAneedstopurchaseorsellgoodsorservices;-WhenPartyAneedstofindpartnersorinvestors;-WhenPartyAneedstoengageintechnologycooperationortechnologytransfer;-WhenPartyAneedstoconductmarketresearchormarketpromotion;-WhenPartyAneedstoengageinotherbusinessactivities.16.2Whenprovidingintermediaryservices,PartyBshouldprovidecorrespondingservicesandsupportaccordingtothespecificneedsandapplicationscenariosofPartyA.Article17:ModificationandTerminationoftheAgreement17.1ThepartiesmaynegotiateandagreetomodifythecontentofthisAgreement.17.2Ifonepartyseriouslybreachesthecontract,theotherpartyhastherighttoterminatethisAgreementandrequirethebreachingpartytobearthecorrespondingliabilityforbreachofcontract.Article18:NoticesandDelivery18.1AllnoticesunderthisAgreementshallbeinwritingandshallbedeliveredtotheaddresses,faxes,oremailsconfirmedbybothparties.18.2Ifanypartychangesitsnoticeaddressorcontactinformation,itshallnotifytheotherpartyinwritingatleast_______daysinadvance.Article19:ApplicableLawandDisputeResolution19.1Theconclusion,interpretation,modification,performance,anddisputeresolutionofthisAgreementshallbegovernedbythelawsof_______(countryorregion).19.2IfthepartieshaveadisputearisingfromtheperformanceofthisAgreement,theyshouldfirstresolveitthroughnegotiation;ifnegotiationfails,itshallbesubmittedto_______(specificarbitrationinstitutionorcourt)forresolution.Article20:CompletenessoftheAgreement20.1ThisAgreement,togetherwithallattachments,constitutesthecompleteagreementreachedbybothpartiesonthesubjectmatterofthisAgreementandreplacesallpreviousoralorwrittenagreementsbetweenthepartiesonthesamesubjectmatter.Article21:AdditionalTerms21.1ThepartiesmaysignasupplementaryagreementonmattersnotcoveredbythisAgreementaccordingtospecificcircumstances.21.2ThesupplementaryagreementhasthesamelegaleffectasthisAgreement,andincaseofanyinconsistencybetweenthesupplementaryagreementandthisAgreement,thesupplementaryagreementshallprevail.(PartyA'sstamp):________________
