2024版最新债务担保协议债权担保书合同编号：__________DebtGuaranteeAgreementThisDebtGuaranteeAgreement(the"Agreement")ismadeandenteredintoonthis______dayof____________,2024,andbetween:PartyA:____________________(the"Debtor")PartyB:____________________(the"Creditor")PartyC:____________________(the"Guarantor")RECITALS:WHEREAS,PartyAisindebtedtoPartyBintheamountof______(the"Debt"),asmorefullysetforthintheLoanAgreementdated____________(the"LoanAgreement");WHEREAS,PartyCdesirestoguaranteethepaymentandperformanceoftheDebtPartyA;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedherein,thepartiesheretoagreeasfollows:1.Guarantee1.1Guarantor'sObligation.TheGuarantorhereguaranteesthefullandpromptpaymentandperformancePartyAoftheDebt,anyandallinterest,fees,costs,andexpensesarisingtherefromorinconnectiontherewith,andanyotherobligationsofPartyAundertheLoanAgreement,whethercurrentlyinexistenceorarisinghereafter(collectively,the"Obligations").1.2Guarantor'sLiability.TheGuarantorshallbejointlyandseverallyliablewithPartyAfortheObligations.TheGuarantor'sliabilityunderthisAgreementshallbeabsolute,unconditional,andirrevocable,regardlessofanychangeintheownershipofPartyAoranychange,extension,orrenewaloftheDebtoranyotheragreementbetweenPartyAandPartyB.2.GuaranteeEnforcement2.1RightofPartyBtoEnforce.IntheeventthatPartyAfailstopayanyoftheObligationswhendue,PartyBshallhavetherighttoenforcetheGuaranteeagainsttheGuarantordirectly.PartyBmayexerciseanyandallrightsandremediesavailabletoitunderapplicablelaworinequitytocollecttheDebtandanyotheramountsdueunderthisAgreement.2.2WaiverofNotice.PartyBshallnotberequiredtogiveanynoticetotheGuarantorofPartyA'sdefaultoranyactiontakenPartyBtoenforcetheGuarantee.TheGuarantorexpresslywaivesanyrighttoreceivesuchnoticeandanyrighttocontestPartyB'sactionsinenforcingtheGuaranteeunlessPartyBfailstoexerciseitsrightsingoodfaith.3.GuaranteeTermination3.1TerminationofGuarantee.TheGuaranteeshallterminateautomaticallyuponthepaymentinfulloftheDebtandallotherObligations.TheGuarantorshallnotbereleasedfromitsobligationsunderthisAgreementuntilPartyBreceiveswrittenconfirmationfromPartyAthatallObligationshavebeensatisfiedinfull.3.2EventofDefault.IfanEventofDefaultoccursundertheLoanAgreement,theGuarantor'sobligationsunderthisAgreementshallcontinueinfullforceandeffectuntiltheEventofDefaultiscuredortheDebtisotherwisepaidinfull.4.RepresentationsandWarranties4.1ValidAgreement.EachpartyheretorepresentsandwarrantsthatithasthelegalcapacitytoenterintothisAgreementandthatthisAgreementconstitutesavalidandbindingobligationenforceableagainstitinaccordancewithitsterms.4.2NoConflict.EachpartyheretorepresentsandwarrantsthattheexecutionanddeliveryofthisAgreementandtheperformanceofitsobligationshereunderdonotandwillnotconflictwithanylaw,rule,regulation,ororderapplicabletoitoranyagreementorinstrumentbindinguponit.5.Indemnification5.1IndemnificationGuarantor.TheGuarantoragreestoindemnifyandholdharmlessPartyBanditsofficers,directors,agents,andemployees(collectively,the"IndemnifiedParties")fromandagainstanyandalllosses,damages,liabilities,claims,actions,judgments,fines,penalties,interest,andexpenses(including,withoutlimitation,reasonableattorneys'feesandcostsofinvestigation,litigation,settlement,andappeal)incurredanyIndemnifiedPartyinconnectionwithanyclaim,action,orproceedingarisingoutoforrelatedtotheObligationsortheGuarantee.6.Miscellaneous6.1GoverningLaw.ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsoftheStateofNewYork,withoutregardtoitsconflictoflawsprinciples.6.2EntireAgreement.ThisAgreement(includingtheschedulesandexhibitshereto)constitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,ofthepartieswithrespecttothesubjectmatterhereof.一、附件列表：DebtGuaranteeAgreementLoanAgreementSchedulesandexhibitstotheDebtGuaranteeAgreement二、违约行为及认定：FailureofPartyAtopaytheDebtoranyotherObligationswhendueFailureofPartyAtoperformanyotherobligationsundertheLoanAgreementEventofDefaultasdefinedintheLoanAgreement三、法律名词及解释：Debtor:PartyA,theborrowerwhoowestheDebttoPartyB.Creditor:PartyB,thelendertoPartyA.Guarantor:PartyC,theentityguaranteeingtheDebt.Obligations:TheDebt,interest,fees,costs,andotherobligationsofPartyAundertheLoanAgreement.EventofDefault:AbreachoftheLoanAgreementPartyAthatgivesPartyBtherighttodeclaretheDebtdueandpayable.四、执行中遇到的问题及解决办法：PartyAfailstopaytheDebt:PartyBmayenforcetheGuaranteeagainsttheGuarantorandtakelegalactiontorecovertheDebt.PartyAfailstoperformotherobligations:PartyBmayseekspecificperformanceordamagesfromtheGuarantor.DisputeovertheDebtorObligations:PartiesshouldrefertothedisputeresolutionclauseintheLoanAgreementorseeklegalaction.五、所有应用场景：ThisDebtGuaranteeAgreementisapplicablewhenPartyA,thedebtor,failstofulfillit
