ContractAgreementforBrokerageCommissioninEnglish

Partiesinvolved:

1.[Broker/Agent](hereinafterreferredtoas"Broker")

2.[Client](hereinafterreferredtoas"Client")

Recitals:

Whereas,theBrokerisengagedinthebusinessofbrokering/agentingandhasrepresentedtheClientinthetransaction;

Whereas,theClienthasagreedtopaytheBrokeracommissionfortheservicesrendered;

Now,therefore,bothpartiesheretoagreeasfollows:

Article1:DefinitionofTerms

1.1."Broker"means[Broker/Agent]identifiedinthefirstparagraphofthisAgreement.

1.2."Client"means[Client],identifiedinthefirstparagraphofthisAgreement.

1.3."Commission"meansthebrokeragefeetobepaidbytheClienttotheBrokerforthesuccessfulcompletionofthetransaction.

1.4."Transaction"meansthepurchaseorsaleof[product/service]betweentheClientandthethirdparty.

Article2:CommissionRate

TheBrokershallbeentitledtoacommissionequalto[percentage]ofthegrosstransactionamount,uponthesuccessfulcompletionofthetransaction.

Article3:PaymentTerms

3.1.TheClientshallpaytheCommissiontotheBrokerwithin[number]daysafterthedateoftheclosingoftheTransaction.

3.2.TheCommissionshallbepaidbywiretransfertotheBroker'sdesignatedbankaccount,orbycheckpayabletotheorderoftheBroker.

3.3.TheClientshallprovidetheBrokerwithvalidproofofpayment,uponrequest.

Article4:Confidentiality

4.1.ThePartiesagreetomaintainstrictconfidentialitywithrespecttoallmattersrelatedtothisAgreement,exceptasrequiredbylaworregulation.

4.2.TheBrokershallnotdisclosetheClient'sidentityoranyothersensitiveinformationtoanythirdpartywithouttheClient'spriorwrittenconsent.

Article5:RepresentationandWarranties

5.1.TheBrokerrepresentsandwarrantsthatithastheauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.

5.2.TheClientrepresentsandwarrantsthatithastheauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.

Article6:Indemnification

6.1.TheClientshallindemnifyandholdharmlesstheBrokerfromanyandallclaims,demands,actions,suits,orotherlegalproceedingsbroughtagainsttheBrokerbyanythirdpartyresultingfromtheClient'sbreachofthisAgreement.

6.2.TheBrokershallindemnifyandholdharmlesstheClientfromanyandallclaims,demands,actions,suits,orotherlegalproceedingsbroughtagainsttheClientbyanythirdpartyresultingfromtheBroker'sbreachofthisAgreement.

Article7:GoverningLawandJurisdiction

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubmittedtotheexclusivejurisdictionofthecourtsof[jurisdiction].

Article8:EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreementsandunderstandings,bothwrittenandoral,betweenthePartieswithrespecttothesubjectmatterhereof.
