ntScheduleAnnexIII:ListofPartyB'sConsultingTeamMembersandQualificationsAnnexIV:ListofInformationandMaterialsProvidedbyPartyAAnnexV:TrainingCourseScheduleandTimelineAnnexVI:ConfidentialityAgreementArticle13:BreachofContractandDetermination13.1Breachofcontractincludes,butisnotlimitedto,thefollowingcircumstances:13.1.1PartyAfailstomakepaymentsontimeasstipulatedinthecontract.13.1.2PartyBfailstoprovideservicesinaccordancewiththeagreedtime,content,andstandards.13.1.3Eitherpartydisclosesconfidentialinformationinviolationoftheconfidentialityagreement.13.1.4Eitherpartyfailstofulfillorfullyfulfillitsobligationsunderthecontract.13.2Thedeterminationofabreachofcontractshallbebasedonfactsandevidence,andthebreachingpartyshallbearthecorrespondingliabilityforbreachofcontract.Article14:LegalTermsandInterpretations14.1ThelegaltermsusedinthisAgreementshallbeinterpretedinaccordancewiththerelevantlawsandregulationsofthePeople'sRepublicofChina.14.2TheprofessionaltermsinthisAgreementareinterpretedasfollows:14.2.1ConsultingServices:ReferstotheprofessionalservicesprovidedbyPartyBtoPartyAbasedonPartyB'sprofessionalcapabilitiesandexperienceinspecificfields.14.2.2TradeSecrets:Referstotechnicalinformationandbusinesssecretsthatarenotknowntothepublic,canbringeconomicbenefitstotherightholder,havepracticality,andhavebeenkeptconfidentialbytherightholder.14.2.3IntellectualPropertyRights:Referstotheintellectualachievementsgeneratedduringtheconsultingserviceprocess,includingbutnotlimitedtoconsultingreports,analysismodels,etc.,whicharelegallyprotected.Article15:ProblemsEncounteredDuringImplementationandSolutions15.1Ifproblemsariseduringtheimplementationofthecontract,bothpartiesshallfirstresolvethemthroughfriendlynegotiation.15.2Ifnegotiationfails,eitherpartymaysubmittoarbitrationorlitigationinaccordancewiththedisputeresolutionclauseofthecontract.15.3Forissuescausedby
