sAgreement.Chapter8:LiabilityforBreachofContract8.1DefinitionofBreachBreachofcontractoccurswhenapartyfailstoperformitsobligationsunderthisAgreementorperformstheminamannerthatdoesnotconformtothetermshereof.8.1.1ConsequencesofBreachThebreachingpartyshallberesponsibleforanylossesincurredbythenon-breachingpartyasaresultofthebreach.8.2ConsequencesofBreachThebreachingpartyshallindemnifyandholdharmlessthenon-breachingpartyagainstallclaims,damages,andexpensesarisingfromthebreach.8.3CompensationforBreachThebreachingpartyshallpaytothenon-breachingpartyasumequivalenttothelossesincurredasaresultofthebreach,asdeterminedbyapplicablelaw.Chapter9:DisputeResolution9.1MethodsofDisputeResolutionAnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughnegotiationbetweentheparties.9.1.1FailuretoResolvebyNegotiationIfnegotiationfails,thepartiesmaysubmitthedisputetoarbitrationorlitigationasagreedupon.9.2ApplicableLawTheresolutionofanydisputeshallbegovernedbythelawsofthePeople'sRepublicofChina.9.3JurisdictionAnylegalactionarisingoutoforrelatedtothisAgreementshallbebroughtinthecourtslocatedin______.Chapter10:AdditionalProvisions10.1ConfidentialityClauseBothpartiesagreetokeepconfidentialallinformationobtainedfromtheotherpartyinconnectionwiththisAgreement.10.1.1DurationofConfidentialityTheobligationofconfidentialityshallcontinueforaperiodof______yearsaftertheterminationof
