第一章GeneralProvisions

1.1.ThisContract(hereinafterreferredtoasthe"Agreement")isenteredintobyandbetweenlegalentitiesorindividuals(hereinafterreferredtoasthe"Parties")onthedatementionedherein.

1.2.ThePartiesagreethatthisAgreementshallregulatetheirrightsandobligationsinrespectofthetradeandbusinessactivitiesmentionedherein.

1.3.ThisAgreementmaybeamendedorsupplementedbythePartiesinwriting.

第二章货物和服务的条款

2.1.ThePartiesagreethattheSeller(hereinafterreferredtoasthe"Seller")shallsupplytheGoods(hereinafterreferredtoasthe"Goods")totheBuyer(hereinafterreferredtoasthe"Buyer")inaccordancewiththespecificationsandquantitiessetforthinthisAgreement.

第三章PaymentTerms

第四章DeliveryandAcceptanceofGoods

4.1.TheSellershalldelivertheGoodstotheBuyerattheplaceandtimeagreeduponbytheParties.

4.2.TheBuyershallaccepttheGoodsupondeliveryandshallpromptlynotifytheSellerofanydefectsordiscrepancies.

4.3.ThePartiesshallresolveanydisputesrelatedtothedeliveryandacceptanceoftheGoodsingoodfaithandthroughnegotiations.

第五章WarrantyandLiability

5.1.TheSellerwarrantsthattheGoodscomplywiththeagreedqualitystandardsandspecifications.

5.2.TheSellershallbeliableforanydefectsornon-complianceoftheGoodswiththeagreedqualitystandardsandspecifications.

5.3.TheBuyershallnotifytheSellerofanyclaimsfordefectsornon-complianceoftheGoodswithinthewarrantyperiod.

5.4.ThePartiesshallresolveanydisputesrelatedtowarrantyandliabilityingoodfaithandthroughnegotiations.

第六章Confidentiality

6.1.ThePartiesagreetokeepconfidentialanybusiness,technicalorotherinformationexchangedbetweentheminconnectionwiththisAgreement.

6.2.ThePartiesmaydiscloseconfidentialinformationtotheiremployees,agentsandrepresentativeswhohaveaneed-to-knowbasis,providedthattheyareboundbyconfidentialityobligations.

6.3.TheconfidentialityobligationsshallsurvivetheexpirationorterminationofthisAgreement.

第七章GeneralProvisions

7.1.ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisAgreement.

7.2.ThisAgreementmaybeexecutedinanynumberofcounterparts,eachofwhichshallbeanoriginalandallofwhichtogethershallconstituteoneandthesameinstrument.

7.3.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthecountry/regionwheretheSellerislocated.

7.4.AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughnegotiations.IfthePartiesfailtoresolvethedisputesthroughnegotiations,eitherPart
