eLaw19.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionspecifiedinScheduleB.Article20:EntireAgreement20.1ThisAgreement,includingallschedulesandattachments,constitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriornegotiations,understandings,andagreements.Article21:Waiver21.1ThefailureofeitherpartytoenforceanyprovisionsofthisAgreementshallnotbeconstruedasawaiverorlimitationofthatparty'srighttosubsequentlyenforceandcompelstrictcompliancewitheveryprovisionofthisAgreement.Article22:Severability22.1IfanyprovisionofthisAgreementisheldtobeinvalidorunenforceable,suchprovisionshallbestruckandtheremainingprovisionsshallbeenforced.Article23:Survival23.1TheobligationsofthepartiesunderSections12(IntellectualPropertyRights),13(Confidentiality),andallotherprovisionswhichbytheirnatureareintendedtosurvivetheterminationorexpirationofthisAgreement,shallsurvive.Article24:Counterparts24.1ThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.Article25:Execution25.1ThisAgreementhasbeenexecutedbythedulyauthorizedrepresentativesofbothparties.SELLER:__________BUYER:__________AUTHORIZEDS
