5.Warranties

6.IntellectualProperty

7.Confidentiality

Bothpartiesagreetomaintainstrictconfidentialityregardinganyproprietaryinformation,tradesecrets,orotherconfidentialinformationdisclosedbytheotherpartyduringthetermofthisAgreement.ThisobligationshallsurvivetheterminationorexpirationofthisAgreement.

8.ForceMajeure

NeitherpartyshallbeliableforanyfailuretoperformitsobligationsunderthisAgreementduetocausesbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,naturaldisasters,strikes,wars,orgovernmentalrestrictions.

9.DisputeResolution

AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedamicablythroughnegotiationsbetweentheparties.Ifthepartiesfailtoreachanagreement,thedisputesshallbefinallysettledbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

10.GoverningLawandJurisdiction
