Article1:GoodsandProducts

Article5:Warranty

Article6:ForceMajeure

6.1NeitherPartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputes,ordisruptionsintransportation,providedthattheaffectedPartypromptlynotifiestheotherPartyoftheexistenceandnatureofsuchcause.

Article7:GoverningLawandDisputeResolution

7.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction].

7.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheParties.
