1.ProductandQuantity

TheSelleragreestosell,andtheBuyeragreestobuy,[Quantity]kilogramsoffreshwatercrab(the"Product"),ofaqualityandspecificationconsistentwiththestandardssetforthinExhibitAattachedhereto.

2.Delivery

TheProductshallbedeliveredbytheSellertotheBuyerat[DeliveryLocation],onorbefore[DeliveryDate].TheProductshallbedeemeddeliveredwhentheriskoflossandtitlepassestotheBuyeruponreceiptattheDeliveryLocation.

3.PriceandPaymentTerms

4.Warranties

5.InspectionandRejection

Upondelivery,theBuyershallhavetherighttoinspecttheProducttoconfirmitsconformitywiththequalityandspecificationstandardssetforthinExhibitA.IftheProductdoesnotconformtosuchstandards,theBuyermayrejecttheProductandtheSellershall,attheBuyer'soption,eitherreplacethenon-conformingProductorrefundthepurchasepriceforsuchProduct.

6.ForceMajeure

NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputes,ordisruptionsintransportation,providedthattheaffectedpartypromptlynotifiestheotherpartyoftheexistenceandnatureofsuchcause.

7.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction].AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.

8.EntireAgreement

ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.ThisContractmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothparties.
