EnglishTrainingMaterialsProcurementContract

ThisEnglishTrainingMaterialsProcurementContract(the"Contract")ismadeandenteredintoasofxxx,byandbetweenxxx,axxxcorporationwithitsprincipalofficeatxxx(hereinafterreferredtoas"Purchaser"),andxxx,axxxcorporationwithitsprincipalofficeatxxx(hereinafterreferredtoas"Supplier").

RECITALS

WHEREAS,thePurchaserdesirestopurchasecertainEnglishtrainingmaterialsfromtheSupplier;and

WHEREAS,theSupplieragreestosellsuchmaterialstothePurchaser;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesagreeasfollows:

ARTICLEI-DEFINITIONS

1.1"Materials"meanstheEnglishtrainingmaterialstobesuppliedbytheSupplierandpurchasedbythePurchaserassetforthinExhibitAattachedhereto.

1.2"Term"meanstheperiodcommencingonxxxandendingonxxx.

1.3"TotalPrice"meansthetotalamountpayablebythePurchaserfortheMaterials,whichshallbexxx.

ARTICLEII-OBJECTIVESOFTHECONTRACT

2.1TheprimaryobjectiveofthisContractistofacilitatetheprocurementofEnglishtrainingmaterialsbythePurchaserfromtheSupplier.

2.2BothpartiesagreethatthesuccessfulperformanceofthisContractwillresultinimprovedEnglishlanguageproficiencyamongthePurchaser'semployees.

ARTICLEIII-DUTIESANDRESPONSIBILITIES

3.1SupplierResponsibilities:

a)SupplytheMaterialsasspecifiedinExhibitAwithinxxxdaysfromthesigningofthisContract.

b)EnsurethattheMaterialsareofgoodqualityandmeetthestandardsoutlinedinExhibitA.

c)ProvidenecessarytrainingorsupportifrequiredbythePurchaser.

d)MaintainconfidentialityofanyproprietaryinformationsharedbythePurchaserduringthecourseofthisContract.

3.2PurchaserResponsibilities:

a)PaytheTotalPricetotheSupplierasperthepaymenttermssetforthinArticleIV.

b)ProvidereasonableassistancetotheSupplierinfulfillingitsobligationsunderthisContract.

c)MaintainconfidentialityofanyproprietaryinformationsharedbytheSupplierduringthecourseofthisContract.

ARTICLEIV-PAYMENTTERMS

4.1TheTotalPricefortheMaterialsshallbepaidbythePurchasertotheSupplierinxxxinstallment(s)asfollows:xxx.

4.2AllpaymentsshallbemadeviawiretransfertothebankaccountdesignatedbytheSupplier.

4.3Ifanypaymentisoverdue,interestshallaccrueonsuchamountatarateofxxx%perannumuntilpaidinfull.

ARTICLEV-TERMANDTERMINATION

5.1ThisContractshallcommenceonxxxandcontinueuntilxxxunlessearlierterminatedinaccordancewiththisArticleV.

5.2EitherpartymayterminatethisContractbygivingxxxdays'writtennoticetotheotherparty.Upontermination,eachpartyshallperformallremainingobligationshereunder.

5.3Incaseofanybreachordefaultbyeitherparty,thenon-breachingpartymayterminatethisContractimmediatelyuponwrittennoticetothebreachingparty.

ARTICLEVI-CONFIDENTIALITY

6.1BothpartiesagreetomaintainstrictconfidentialityregardingallproprietaryinformationdisclosedpursuanttothisContract.Unlessotherwiseagreedinwriting,neitherpartyshallusesuchinformationforanypurposeotherthanfulfillingitsobligationsunderthisContract.

ARTICLEVII-MISCELLANEOUS

7.1GoverningLaw:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofxxx.AnydisputearisingoutoforrelatingtothisContractshallberesolvedthroughbindingarbitrationinxxx.

7.2Severability:IfanyprovisionofthisContractisfoundtobeinvalidorunenforceable,itshallnotaffectthevalidityorenforceabilityoftheremainingprovisions.

7.3Amendments:NoamendmentormodificationofthisContractshallbevalidunlessmadeinwritingandsignedbybothparties.

7.4EntireAgreement:ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallpriornegotiations,understandings,andagreementsbetweenthem.

7.5Waiver:NowaiverofanyprovisionofthisContractshallbeeffectiveunlessmadeinwritingandsignedbybothparties.Nosingleorpartialwaivershallconstituteacontinuingwaiveroraffectotherprovisions.
