1.Recitals

-"Agreement"referstothiscontract,includingallitsattachments,exhibits,andschedules.

-"ConfidentialInformation"meansanyinformationdisclosedbyonePartytotheotherPartyinconnectionwiththisAgreement,whichisnotgenerallyknownorreadilyavailabletothepublic.

-"EffectiveDate"referstothedateonwhichthisAgreementissignedbybothParties.

-"ForceMajeure"meansanyunforeseeableandirresistibleeventbeyondthereasonablecontrolofaParty,whichpreventsthatPartyfromperformingitsobligationsunderthisAgreement.

3.ScopeofAgreement

ThisAgreementsetsforththetermsandconditionsunderwhichPartyAandPartyBagreeto[describethemainpurposeofthecontract].ThePartiesacknowledgethatthisAgreementconstitutestheentireunderstandingbetweenthemandsupersedesallprioragreements,whetherwrittenororal,relatingtothesubjectmatterhereof.

4.ObligationsofPartyA

6.Confidentiality

ThePartiesagreetomaintaintheconfidentialityofConfidentialInformationandnottodiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherParty,exceptasrequiredbylawortotheirprofessionaladvisorsonaneed-to-knowbasis.

7.TermandTermination

ThisAgreementshallenterintoforceontheEffectiveDateandcontinueuntil[insertterminationdateorevent].EitherPartymayterminatethisAgreementupon[insertnoticeperiod]priorwrittennoticetotheotherPartyintheeventofamaterialbreachbytheotherPartythatremainsuncured.

8.DisputeResolution
