ContractforExportProcessingManufacturing

ThisContract(the"Contract")ismadeandenteredintoasof[InsertDate],byandbetween[InsertManufacturerName]("Manufacturer"),acompanyorganizedandexistingunderthelawsof[InsertManufacturerCountry],witharegisteredaddressat[InsertManufacturerAddress],and[InsertClientName]("Client"),acompanyorganizedandexistingunderthelawsof[InsertClientCountry],witharegisteredaddressat[InsertClientAddress].

1.ManufactureandSupplyofProducts

1.1ManufactureragreestomanufactureandsupplytoClient,andClientagreestopurchasefromManufacturer,theproducts(the"Products")describedintheattachedProductSpecificationSheet(the"SpecificationSheet"),inaccordancewiththetermsandconditionsofthisContract.

1.2ManufacturershallmanufacturetheProductsinaccordancewiththespecificationsandrequirementssetforthintheSpecificationSheet,andincompliancewithallapplicablelaws,regulationsandstandards.

1.3ManufacturershallusereasonablecommercialeffortstoensurethattheProductsaredeliveredtoClientonorbeforethedeliverydatespecifiedintheSpecificationSheet.TimeisoftheessencewithrespecttothedeliveryoftheProducts.

2.QualityControlandInspection

2.1ManufacturershallmaintainappropriatequalitycontrolandinspectionprocedurestoensurethattheProductsconformtothespecificationsandrequirementssetforthintheSpecificationSheet.

2.2ClientshallhavetherighttoinspectandtesttheProductsatManufacturer'sfacilitiesoratsuchotherlocationasClientmayreasonablyspecify,toensurethattheProductsconformtothespecificationsandrequirementssetforthintheSpecificationSheet.IftheProductsdonotconformtosuchspecificationsandrequirements,Clientmay,atitssolediscretion,requireManufacturertoreworkorreplacethenon-conformingProductsatnoadditionalcosttoClient.

3.PricingandPaymentTerms

3.1ThepurchasepricefortheProductsshallbeassetforthintheattachedQuotation(the"Quotation"),whichisincorporatedintoandmadeapartofthisContract.

3.2ClientshallmakepaymentfortheProductsinaccordancewiththepaymenttermssetforthintheQuotation.AllpaymentsshallbemadeinthecurrencyspecifiedintheQuotation,andshallbeirrevocable,transferableandnegotiableinstrumentsofatypeacceptabletoManufacturer.

4.DeliveryandShipping

4.1ManufacturershalldelivertheProductstoClient'sdesignateddeliverylocation(the"DeliveryLocation")onorbeforethedeliverydatespecifiedintheSpecificationSheet.

4.2Manufacturershallberesponsibleforthepackaging,labelingandshippingoftheProductsinaccordancewiththerequirementssetforthintheSpecificationSheet.TheshippingcostsshallbebornebyClient,andshallbesetforthintheQuotation.

5.Warranty

5.1ManufacturerwarrantsthattheProductsconformtothespecificationsandrequirementssetforthintheSpecificationSheet,andthattheProductsarefreefromdefectsinmaterialsandworkmanship.

5.2Theforegoingwarrantyshallbeeffectiveforaperiodof[InsertWarrantyPeriod]fromthedateofdeliveryoftheProductstoClient.

6.Confidentiality

6.1Eachparty(the"ReceivingParty")agreestokeepconfidentialandnotdisclosetoanythirdpartyanyconfidentialinformationoftheotherparty(the"DisclosingParty")thatisdisclosedtotheReceivingPartyunderthisContract,excepttotheextentthatsuchinformationisorbecomespubliclyavailablethroughnofaultoftheReceivingParty.

6.2TheobligationsofconfidentialitysetforthinthisSection6shallsurvivetheexpirationorterminationofthisContract.

7.Indemnification

7.1ManufacturershallindemnifyandholdharmlessClientfromandagainstanyandallclaims,damages,losses,liabilitiesandexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithanyclaimthattheProductsinfringeanypatent,trademark,copyrightorotherintellectualpropertyrightofanythirdparty.

7.2ClientshallindemnifyandholdharmlessManufacturerfromandagainstanyandallclaims,damages,losses,liabilitiesandexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithanyclaimthatClient'suseoftheProductsinfringesanypatent,trademark,copyrightorotherintellectualpropertyrightofanythirdparty.

8.Miscellaneous

8.1ThisContractmaynotbeassignedbyeitherpartywithoutthepriorwrittenconsentoftheotherparty.

8.2ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertGoverningLawJurisdiction],andthepartiesherebysubmittotheexclusivejurisdictionofthecourtsofsuchjurisdiction.

8.3AnyamendmentormodificationofthisContractoradditionalobligationassumedbyeitherpartyinconnectionwiththisContractshallbebindingonlyifevidencedinwritingsignedbyeachpartyoranauthorizedrepresentativeofeachparty.
