1.ScopeofServices

TheConsultantagreestoprovidetheClientwith[DescriptionofServices],includingbutnotlimitedto[ListSpecificServices],duringthetermofthisAgreement.TheConsultantshallusereasonableskill,care,anddiligenceintheperformanceoftheservices.

2.Term

3.Fees

4.Payment

5.Confidentiality

6.IntellectualProperty

Allintellectualpropertyrights,includingbutnotlimitedtopatents,copyrights,trademarks,andtradesecrets,arisingfromtheperformanceoftheservicesunderthisAgreementshallbetheexclusivepropertyoftheConsultant.TheClientshallhavetherighttousetheintellectualpropertyrightssolelyforthepurposesoftheAgreement.

7.Termination

EitherPartymayterminatethisAgreementupon[NoticePeriod],foranyreasonornoreason,uponwrittennoticetotheotherParty.UponterminationofthisAgreement,theClientshallpaytheConsultantforallservicesrendereduptothedateoftermination.

8.Indemnification

TheConsultantshallindemnifyandholdharmlesstheClientfromandagainstanyandallclaims,actions,liabilities,losses,damages,andexpensesarisingoutoforinconnectionwiththeperformanceoftheservicesunderthisAgreement.

9.LimitationofLiability

TheConsultant'sliabilityunderthisAgreementshallbelimitedtotheFeespaidbytheClientunderthisAgreement.TheConsultantshallnotbeliableforanyindirect,special,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththeperformanceoftheservicesunderthisAgreement.

10.GoverningLaw

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

6.ThirdParty'sRoleandResponsibilities

TheThirdPartyagreesto:

7.Consultant'sandThirdParty'sLiability

8.LimitationofLiability
