WHEREAS,PartyAdesirestoengagetheservicesofPartyBforthepurposesof[DescriptionofServicestobeProvidedbyPartyB];
WHEREAS,PartyBdesirestoprovidetheservicestoPartyAonthetermsandconditionssetforthinthisContract;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thepartiesheretoagreeasfollows:
1.ScopeofServices:PartyBshallprovidetheservicesdescribedinExhibitAattachedhereto(hereinafterreferredtoasthe"Services"),inaccordancewiththetermsandconditionssetforthinthisContract.
2.Term:ThisContractshallcommenceon[StartDate]andshallcontinueforaperiodof[DurationofContract],unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.
3.Compensation:PartyBshallbecompensatedfortheprovisionoftheServicesinaccordancewiththetermssetforthinExhibitBattachedhereto(hereinafterreferredtoasthe"CompensationSchedule").
4.PaymentTerms:PaymentfortheServicesshallbemadeinaccordancewiththetermssetforthinExhibitCattachedhereto(hereinafterreferredtoasthe"PaymentTerms").
5.Confidentiality:ThepartiesagreetomaintaintheconfidentialityofallconfidentialinformationdisclosedtoeachotherinconnectionwiththisContract,exceptasotherwiseprovidedinthisContractorasrequiredbyapplicablelaw.
6.GoverningLaw:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthe[Country],withoutgivingeffecttoanyprinciplesofconflictsoflaw.
7.EntireAgreement:ThisContract,togetherwithallexhibitsattachedhereto,constitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,relatingtothesubjectmatterhereof.
8.Amendments:ThisContractmayonlybeamendedbyawritteninstrumentexecutedbybothparties.
9.Waiver:ThefailureofeitherpartytoenforceanyprovisionofthisContractshallnotbedeemedawaiverofsuchprovisionnoroftherighttoenforcethesameinthefuture.
10.Severability:IfanyprovisionofthisContractisfoundtobeinvalidorunenforceable,theremainingprovisionsofthisContractshallremaininfullforceandeffect.

WHEREAS,PartyChasagreedtoactasathird-partyserviceprovidertoPartyB,insupportofPartyA'sbusinessneeds;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thepartiesheretoagreeasfollows:
1.ScopeofServices:PartyBshallprovidetheservicesdescribedinExhibitAattachedhereto(hereinafterreferredtoasthe"Services"),inaccordancewiththetermsandconditionssetforthinthisContract.PartyCshallassistPartyBintheprovisionoftheServicesassetforthinExhibitDattachedhereto.
2.Term:ThisContractshallcommenceon[StartDate]andshallcontinueforaperiodof[DurationofContract],unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.
3.Compensation:

4.PaymentTerms:PaymentfortheServicesshallbemadeinaccordancewiththetermssetforthinExhibitCattachedhereto(hereinafterreferredtoasthe"PaymentTerms").
5.Confidentiality:ThepartiesagreetomaintaintheconfidentialityofallconfidentialinformationdisclosedtoeachotherinconnectionwiththisContract,exceptasotherwiseprovidedinthisContractorasrequiredbyapplicablelaw.
6.GoverningLaw:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthe[Country],withoutgivingeffecttoanyprinciplesofconflictsoflaw.

11.ThirdPartyInvolvement:
a.PartyCshallperformitsobligationsunderthisContractasanindependentcontractorandshallnotbedeemedanemployeeoragentofPartyAorPartyB.
b.PartyCshallcomplywithallapplicablelaws,regulations,andstandardsintheperformanceofitsservices.
c.PartyAshallhavetherighttodirectlycommunicatewithPartyCforthepurposeofensuringthequalityandtimelinessoftheServicesprovided.
12.RightsandObligationsofPartyA:
a.PartyAshallhavetherighttorequestchangestotheServices,providedsuchchangesarereasonableanddonotmateriallyalterthescopeoftheServices.
b.PartyAshallhavetherighttoterminatethisContractuponwrittennoticetoPartyBandPartyCifPartyBorPartyCfailstomeettheobligationssetforthinthisContract.
13.RightsandObligationsofPartyB:
a.PartyBshallberesponsibleforcoordinatingwithPartyCtoensurethesuccessfuldeliveryoftheServices.
b.PartyBshallensurethattheServicesareperformedinamannerthatmeetstherequirementsandspecificationssetforthinthisContract.
14.RightsandObligationsofPartyC:
a.PartyCshallprovidetheservicesasdescribedinExhibitDattachedhereto.
b.PartyCshallnotdiscloseanyconfidentialinformationofPartyAorPartyBtoanythirdpartywithoutthepriorwrittenconsentofPartyAorPartyB.
15.TerminationandConsequences:
a.IntheeventofterminationofthisContractbyPartyA,PartyBandPartyCshallbeentitledtopaymentforservicesrendereduptothedateoftermination.
b.IntheeventofterminationofthisContractbyPartyBorPartyC,PartyAshallbeentitledtoapro-ratarefundofanypre-paidfees.
16.DisputeResolution:AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthrougharbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

d.PartyBshallhavetherighttousetheServicesforitsownbusinesspurposeswithoutrestriction,subjecttothetermsofthisContract.
12.RightsandObligationsofPartyC:
a.PartyCshallhavetherighttoreceivefullpaymentforitsservicesasoutlinedinExhibitE.
b.PartyCshallhavetherighttoterminateitsinvolvementinthisContractuponwrittennoticetoPartyBandPartyAifPartyAfailstofulfillitspaymentobligations.
13.RightsandObligationsofPartyA:
a.PartyAshallbeobligatedtoprovidetheServicesasdescribedinExhibitAandensurecompliancewithallapplicablelawsandregulations.
