1.ScopeofCooperation

2.TermandTermination

2.2EitherPartymayterminatethisContractbygiving[NoticePeriod]priorwrittennoticetotheotherParty.
2.3TerminationofthisContractshallnotaffectanyobligationsorrightsthathavealreadyarisenpriortotheterminationdate.
3.Payment
3.1PartyAshallbeentitledtoreceivepaymentfortheservices/productsprovidedtoPartyBinaccordancewiththetermsandconditionssetforthinthisContract.
3.2PartyBshallmakepaymenttoPartyAwithin[PaymentPeriod]afterthereceiptoftheinvoiceissuedbyPartyA.
3.3FailuretomaketimelypaymentshallentitlePartyAtochargeinterestattherateof[InterestRate]perannumontheoutstandingamount.
4.IntellectualProperty
4.1Allintellectualpropertyrights,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets,relatedtotheservices/productsprovidedbyPartyAandPartyBshallbeownedbytherespectiveParties.
4.2NeitherPartyshallusetheintellectualpropertyrightsoftheotherPartywithoutpriorwrittenconsent.
5.Confidentiality
5.1ThepartiesagreetomaintaintheconfidentialityofallinformationdisclosedtothembytheotherPartyduringthecourseofthisContract.
5.2TheobligationofconfidentialityshallsurvivetheterminationorexpirationofthisContract.
6.Liability
6.1PartyAshallbeliableforanylossordamagesufferedbyPartyBduetothefailuretoperformitsobligationsunderthisContract.
6.2PartyBshallbeliableforanylossordamagesufferedbyPartyAduetothefailuretoperformitsobligationsunderthisContract.
6.3TheliabilityofeitherPartyshallbelimitedtotheamountofdirectdamagesactuallyincurredbytheaggrievedParty.
7.GoverningLawandDisputeResolution
7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
