1.ScopeofIntermediaryServices

2.CompensationandFees

4.Indemnification

a.PartyAagreestoindemnifyandholdharmlessPartyBfromandagainstanyandallclaims,liabilities,losses,damages,orexpensesarisingoutoforinconnectionwiththeIntermediary'sservices.

b.PartyBagreestoindemnifyandholdharmlessPartyAfromandagainstanyandallclaims,liabilities,losses,damages,orexpensesarisingoutoforinconnectionwiththe[NatureoftheTransaction]betweenPartyBandtheThirdParty.

5.TermandTermination

6.GoverningLawandJurisdiction

6.LimitationsandRestrictionsonPartyB
