1.SUBJECTMATTEROFTHECONTRACT

2.PRICEANDPAYMENT

3.DELIVERY

4.ACCEPTANCE
TheBuyershallinspecttheGoodsuponreceiptandconfirmtheacceptancethereofwithin[NumberofDays]daysafterthedeliveryoftheGoods.IftheBuyerfailstoinspectorconfirmtheacceptanceoftheGoodswithinthesaidperiod,itshallbedeemedthattheGoodshavebeenaccepted.
5.WARRANTIES
TheSellerwarrantsthattheGoodsshallbefreefromanydefectsandinconformitywiththespecificationssetforthinthisContract.Thewarrantyperiodshallbe[NumberofDays]daysfromthedateofdeliveryoftheGoods.
6.LIABILITY
IncaseofanybreachoftheContractbyeitherparty,thenon-breachingpartyshallhavetherighttoclaimdamagesfromthebreachingparty.Theliabilityofthepartiesshallbegovernedbythelawsof[Country/State].
7.FORCEMAJEURE
Intheeventofanyforcemajeure,suchaswar,naturaldisasters,fires,etc.,whichpreventseitherpartyfromperformingitsobligationsunderthisContract,theaffectedpartyshallnotifytheotherpartyinwritingwithin[NumberofDays]daysaftertheoccurrenceofsuchevent.Thenon-affectedpartyshallnotbeliableforanyfailureordelayinperformanceduetoforcemajeure.
8.DISPUTERESOLUTION
AnydisputesarisingfromorinconnectionwiththisContractshallbesettledthroughfriendlynegotiationsbetweentheparties.Ifthedisputescannotberesolvedthroughnegotiations,thepartiesshallsubmitthedisputestothearbitrationof[ArbitrationInstitution]inaccordancewiththerulesofsaidinstitution.
9.GENERALPROVISIONS
9.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthisContract.
9.2AnyamendmentormodificationtothisContractshallbeeffectiveonlyifitisinwritingandsignedbybothparties.
9.3ThisContractshallbebindinguponandinuretothebenefitofthepartiesandtheirrespectivesuccessorsandassigns.

-EnsurethatthetransactionisconductedinamannerthatisfairandinthebestinterestofthePrincipal;
-Provideanynecessarydocumentationorservicesrequiredforthetransaction.
5.PRINCIPAL'SRIGHTSANDOBLIGATIONS
ThePrincipalhastherightto:
-RequesttheThirdPartytoprovideupdatesonthetransactionstatus;
-CanceltheContractiftheSellerfailstodelivertheGoodswithintheagreedtimeframe;
-SeekdamagesfromtheSellerforanybreachoftheContract.
ThePrincipalagreesto:
-PaythePricefortheGoodsaspertheagreedterms;
-ComplywithallapplicablelawsandregulationsinrelationtothepurchaseanduseoftheGoods;
-ProvideanynecessaryinformationordocumentationrequiredbytheSellerortheThirdParty.
6.SELLER'SOBLIGATIONS
TheSelleragreesto:
-DelivertheGoodstothePrincipalatthespecifiedlocationandtime;
-EnsurethattheGoodsarefreefromdefectsandinconformitywiththespecifications;
-Provideanynecessarydocumentationorservicesrequiredforthetransaction.
7.SELLER'SLIABILITYANDLIMITATIONS
TheSellershallbeliableforanybreachoftheContractandshallindemnifythePrincipalforanylossesincurredasaresultofsuchbreach.However,theSeller'sliabilityshallbelimitedtothePriceoftheGoods.
8.THIRDPARTYLIABILITY
TheThirdPartyshallbeliableforanybreachofitsobligationsunderthisContractandshallindemnifythePrincipalforanylossesincurredasaresultofsuchbreach.TheThirdParty'sliabilityshallbelimitedtothescopeofitsservicesunderthisContract.
9.DISPUTERESOLUTION
AnydisputesarisingfromorinconnectionwiththisContractshallbesettledthroughfriendlynegotiationsbetweentheparties.Ifthedisputescannotberesolvedthroughnegotiations,thepartiesshallsubmitthedisputestothearbitrationof[ArbitrationInstitution]inaccordancewiththerulesofsaidinstitution.
10.GENERALPROVISIONS

10.2AnyamendmentormodificationtothisContractshallbeeffectiveonlyifitisinwritingandsignedbyallparties.

-ThePrincipalretainstherighttocanceltheContractintheeventofaSeller'sfailuretodeliver,therebyprotectingitsinterests.

ThePrincipal'srightsandinterestsareprioritizedby:

-SeekdamagesfromthePrincipalforanybreachoftheContract.

-EnsurethattheGoodsarefreefromdefectsandinconformitywiththespecifications;
-Provideanynecessarydocumentationorservicesrequiredforthetransaction.
6.PRINCIPAL'SLIABILITYANDLIMITATIONS
ThePrincipalshallbeliableforanybreachoftheContractandshallindemnifytheSellerforanylossesincurredasaresultofsuchbreach.However,thePrincipal'sliabilityshallbelimitedtothePriceoftheGoods.
7.THIRDPARTYLIABILITY

8.DISPUTERESOLUTION
