(d)OtherPayments:TheFranchiseeshallcomplywithanyotherpaymentobligationsasmaybeagreeduponbythePartiesfromtimetotime.

4.FranchiseOperations

TheFranchiseeshalloperatetheFranchiseinaccordancewiththePrincipal'sstandardoperatingprocedures,guidelines,andpoliciesasmaybeprovidedbythePrincipalfromtimetotime.

5.TrademarkandIntellectualPropertyRights

TheFranchiseeshallhavetherighttousethePrincipal'strademarks,tradenames,logos,andotherintellectualpropertyrights("IntellectualProperty")inaccordancewiththePrincipal'strademarkusageguidelines.

6.Confidentiality

ThePartiesagreetomaintaintheconfidentialityofallconfidentialinformation("ConfidentialInformation")disclosedtothembytheotherPartyduringthenegotiation,execution,andperformanceofthisAgreement.

7.Indemnification

ThePrincipalandtheFranchiseeshallindemnify,defend,andholdharmlesseachotheragainstanyandallclaims,actions,damages,losses,liabilities,andexpensesarisingoutoforinconnectionwiththebreachofanywarranty,representation,orobligationcontainedinthisAgreement.

8.GoverningLawandDisputeResolution
