Article5:ForceMajeure

Article3:ObligationsofPartyA

3.1PartyAshallpaythetotalamountforthegoodstoPartyC,whoshallthenremitthepaymenttoPartyBuponverificationofthegoods'deliveryandcompliancewiththeContract.

3.2PartyAshallprovideanynecessaryinformationordocumentationtoPartyCandPartyBtofacilitatethetransaction.

Article4:ObligationsofPartyB

4.1PartyBshalldeliverthegoodstoPartyCuponconfirmationofthepaymentbyPartyA.

4.2PartyBshallensurethatthegoodsarefreefromanydefectsandconformtothespecificationssetforthinthisContract.

4.3PartyBshallprovidePartyCwithallrelevantdocumentation,includingbutnotlimitedtoinvoices,certificatesoforigin,andqualitycertificates.

Article5:ObligationsofPartyC

5.1PartyCshallactingoodfaithandexerciseduediligenceinitsroleastheintermediary.

5.2PartyCshalluseitsbesteffortstoensurethesuccessfulcompletionofthetransactionandthesatisfactionofbothPartyAandPartyB.

Article6:RightsofPartyA

6.1PartyAshallhavetherighttocancelthisContractintheeventofabreachbyPartyBofitsobligationsunderArticle4.

6.2PartyAshallhavetherighttoclaimdamagesfromPartyCifPartyCfailstoperformitsobligationsunderArticle5.

6.3PartyAshallhavetherighttoinspectthegoodsupondeliveryand,intheeventofanydefects,shallnotifyPartyBandPartyCwithin[numberofdays]daysofdelivery.

Article7:LimitationsofLiability

7.1PartyCshallnotbeliableforanylossordamagesufferedbyPartyAorPartyBduetothefailureofPartyBtodeliverthegoodsorduetoanydefectsinthegoods.

7.2PartyCshallnotbeliableforanylossordamagesufferedbyPartyAorPartyBduetoanyfailureordelayintheperformanceofitsobligationsunderthisContract.

Article8:Confidentiality

8.1ThepartiesagreetokeepconfidentialanyandallinformationdisclosedtothembytheotherpartyduringthenegotiationandexecutionofthisContract.

8.2TheconfidentialityobligationshallsurvivetheterminationofthisContract.

Article9:GoverningLawandDisputeResolution

4.2PartyCshalluseitsbesteffortstosecurethebestpossibletermsforPartyB,includingthehighestpriceforthegoods.

4.3PartyCshallensurethatthetransactionisconductedinamannerthatistransparentandinaccordancewiththelawsandregulationsoftherelevantjurisdictions.

Article5:RightsofPartyB

5.1PartyBshallhavetherighttoreceivepaymentfromPartyAupondeliveryofthegoodsandcompliancewiththetermsofthisContract.

5.2PartyBshallhavetherighttorequestfromPartyCthedetailsofanypotentialbuyers,includingtheirqualificationsandfinancialcapabilities.

Article6:LimitationsofLiability

6.1PartyCshallnotbeliableforanylossordamagesufferedbyPartyBduetotheactionsoromissionsofPartyA.

Article7:Confidentiality

7.1ThepartiesagreetokeepconfidentialanyandallinformationdisclosedtothembytheotherpartyduringthenegotiationandexecutionofthisContract.

7.2TheconfidentialityobligationshallsurvivetheterminationofthisContract.
