2.3LatePayment:Intheeventoflatepayment,theShipperagreestopayinterestattherateof[InterestRate]permonthontheoutstandingbalance.

3.ShipmentLiability

3.1TheCarriershallnotbeliableforanyloss,damage,ordelaytotheShipmentcausedbycircumstancesbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,civilunrest,oranyotherunforeseenevents.

3.2TheShippershallberesponsibleforobtainingandprovidingallnecessarypermits,licenses,anddocumentationrequiredforthetransportationoftheShipment.

4.Insurance

4.1TheShipperagreestoobtainandmaintaininsurancecoveragefortheShipmentinaccordancewiththerequirementsoftheCarrier.

4.2TheCarriershallnotbeliableforanyloss,damage,ordelaytotheShipmentunlesssuchloss,damage,ordelayisduetothenegligenceorwillfulmisconductoftheCarrier.

5.Confidentiality

5.1ThePartiesagreetomaintaintheconfidentialityofanyandallinformationdisclosedtothembytheotherPartyinconnectionwiththeperformanceofthisAgreement.

6.GoverningLawandJurisdiction

6.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

6.2AnydisputesarisingfromorinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

7.EntireAgreement

7.Termination

7.1ThisAgreementmaybeterminatedbyeitherPartywithpropernotice,subjecttothetermsandconditionsherein.

7.2Intheeventoftermination,theShippershallbeentitledtoapro-ratarefundofanyfeespaidinadvanceforservicesnotyetrendered.

8.GoverningLawandJurisdiction
