Article2Definitions

2."Services"referstoanyformofservicethatPartyBisobligatedtoprovidetoPartyAasspecifiedinthisContract.

3."FOB"meansFreeOnBoard,indicatingthatthesellerfulfillsitsdeliveryobligationwhenthegoodshavepassedovertheship'srlatthenamedportofshipment.

2.IfPartyAflstomakethepaymentontime,PartyBshallhavetherighttochargeinterestontheoutstandingamountasspecifiedinArticle4andtosuspendfurtherdeliveryofthe[Goods/Services]untilfullpaymentisreceived.

3.Intheeventofamaterialbreach,thenon-breachingpartyshallhavetherighttoterminatethisContractandseekdamages,whichmayinclude:

a.Directfinanciallossesresultingfromthebreach.

b.Anyindirectorconsequentiallosses,suchaslossofprofitoropportunity.

c.Thecostsofrecoveringthegoodsorrectifyingany缺陷intheservicesprovided.

4.Thebreachingpartyshallalsoberesponsibleforanylegalfeesandotherexpensesincurredbythenon-breachingpartyinenforcingitsrightsunderthisContract.

Thespecificamountofdamagesandthemethodofcalculationshallbedeterminedbasedonthenatureandextentofthebreach,andthepartiesagreetoresolveanydisputesinrelationtosuchdamagesinaccordancewiththedisputeresolutionclauseofthisContract.

Article7ForceMajeure

ForthepurposesofthisContract,"ForceMajeure"shallmeananyeventorcircumstancethatisbeyondthereasonablecontrolofaparty,includingbutnotlimitedtoactsofGod,naturaldisasters,fires,floods,explosions,riots,wars,terroristacts,embargoes,strikes,labordisputes,andanyothereventsthatpreventapartyfromperformingitsobligationsunderthisContract.

IntheeventofaForceMajeure,theaffectedpartyshallbeexcusedfromperformanceofitsobligationsunderthisContractforthedurationoftheForceMajeureevent,providedthattheaffectedpartypromptlynotifiestheotherpartyoftheexistenceandnatureoftheForceMajeureeventandusesreasonableeffortstominimizethedelayorimpactcausedbysuchevent.TheaffectedpartymustalsoprovideregularupdatesonthestatusoftheForceMajeureeventanditseffortstoresumeperformance.

ThepartyaffectedbytheForceMajeureshallnotbeliableforanyflureordelayintheperformanceofitsobligationsunderthisContract,norshallitbeliableforanydamagesorcostsarisingfromsuchflureordelay.However,theaffectedpartymustresumeperformanceofitsobligationsassoonasreasonablypracticalaftertheForceMajeureeventhasceased.

IftheForceMajeureeventcontinuesforaperiodexceeding[number]months,eitherpartyshallhavetherighttoterminatethisContractbyprovidingwrittennoticetotheotherparty.

Article8DisputeResolution

Intheeventofanydispute,controversy,orclmarisingoutoforinconnectionwiththisContract,thepartiesshallfirstattempttoresolvethematterthroughamicablenegotiations.Ifthepartiesareunabletoresolvethedisputewithin[number]daysafterthecommencementofnegotiations,theymayagreetosubmitthedisputetomediationbyamutuallyagreedmediator.

Ifmediationdoesnotresolvethedisputewithin[number]daysfromthecommencementofthemediation,orifeitherpartyflsorrefusestoparticipateinthemediation,thedisputeshallbefinallyresolvedbyarbitrationinaccordancewiththerulesofthe[nameofarbitrationinstitution].Theplaceofarbitrationshallbe[city/country],andthelanguageofthearbitrationshallbe[language].

Thedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.Thecostsofarbitration,includingthefeesofthearbitrator(s),shallbebornebythelosingparty,unlessotherwisedeterminedbythearbitrator(s).

Notwithstandingtheforegoing,eitherpartymayseekequitablereliefinacourtofcompetentjurisdictiontopreventanyactualorthreatenedbreachofthisContractthatwouldcauseimmediateandirreparableharmtosuchparty,andsuchequitablereliefmaybesoughtpriortoorduringthependencyofanyarbitrationproceedings.

Article9OtherProvisions

1.Notices:Allnotices,requests,demands,andothercommunicationsunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenonthedateofserviceifpersonallydeliveredoronthethirddayaftermlingifmledtotheaddressesspecifiedinthisContractbyregisteredorcertifiedml,postageprepd.
