1.GrantofRights

1.1ThePrincipalherebygrantstotheDistributor,andtheDistributorherebyaccepts,theexclusiverighttodistributeandsellthePrincipal's[Product/Service]intheTerritoryduringthetermofthisAgreement.

1.2TheDistributorshallnot,directlyorindirectly,distributeorsellthePrincipal's[Product/Service]outsidetheTerritorywithoutthepriorwrittenconsentofthePrincipal.

3.PricingandPayment
