3.TheEmployerwarrantsthatthepositionofferedtotheEmployeeisgenuinelyavailableandthattheEmployee'semploymentwiththeEmployerwillnotviolateanyapplicablelawsorregulations.

TERM

1.ThisContractshallcommenceon[StartDate]andshallcontinueforaperiodof[Duration],unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.

2.Uponexpirationoftheinitialterm,thisContractshallautomaticallyrenewforsuccessivetermsof[RenewalPeriod],unlesseitherPartyprovideswrittennoticeofterminationatleast[NoticePeriod]priortotheexpirationofthethen-currentterm.

EMPLOYMENTDUTIESANDRESPONSIBILITIES

COMPENSATIONANDBENEFITS

2.TheEmployershallprovidetheEmployeewiththefollowingbenefits:

CONFIDENTIALITYANDNON-COMPETITION

1.TheEmployeeagreestomaintaintheconfidentialityofallinformation,includingbutnotlimitedtotradesecrets,customerlists,andotherconfidentialinformation,obtainedduringthecourseofemployment.

2.TheEmployeeagreesnottoengageinanybusinessactivitythatdirectlyorindirectlycompeteswiththeEmployer'sbusinessduringthetermofthisContractandforaperiodof[Non-CompetePeriod]followingtheterminationofemployment.

TERMTERMINATION

1.ThisContractmaybeterminatedbyeitherPartyupontheoccurrenceofamaterialbreachofthetermsofthisContractbytheotherParty,providedthatthebreachingPartyhasfailedtocurethebreachwithinareasonableperiodafterreceiptofwrittennoticeofthebreach.

2.ThisContractmaybeterminatedbyeitherPartyupontheoccurrenceofafundamentalchangeintheEmployer'sbusinessthatmakescontinuedemploymentoftheEmployeeimpracticalorimpossible.

3.ThisContractmaybeterminatedbyeitherPartyuponmutualagreementoftheParties.

GENERALPROVISIONS

1.ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal.

2.AnyamendmentormodificationofthisContractmustbeinwritingandsignedbybothParties.
