6.2ThisContractmaybeterminatedbyeitherpartyupongivingwrittennoticetotheotherpartyforanyreason,providedthatPartyAshallbeentitledtoreceivethepaymentforthepersonalservicesrenderedpriortotheterminationdate.
7.GoverningLawandJurisdiction

7.TerminationofContract
7.1EitherPartyA,PartyB,orPartyCmayterminatethisContractupongivingwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisContractandfailstocuresuchbreachwithinareasonableperiodoftime.
7.2ThisContractmaybeterminatedbyeitherPartyA,PartyB,orPartyCupongivingwrittennoticeforanyreason,providedthatPartyBshallbeentitledtoreceivethepaymentforthepersonalservicesrenderedpriortotheterminationdate.
8.LimitationsandExclusionsofLiability
8.1PartyBshallnotbeliableforanydamagesorlossesincurredbyPartyAoranythirdpartyduetoanyactoromissionofPartyC.
8.2PartyAacknowledgesthatthepersonalservicesprovidedbyPartyBmaynotbeerror-freeandherebyreleasesPartyBfromanyliabilityforanyerrorsoromissionsintheprovisionoftheservices.
9.GoverningLawandJurisdiction

6.LimitationsandExclusionsofLiabilityofPartyA
6.1PartyAshallnotbeliableforanydamagesorlossesincurredbyPartyBorPartyCduetounforeseencircumstancesorchangesintheClient'sbusinessrequirements.
6.2PartyAacknowledgesthattheconsultingservicesprovidedbyPartyBarebasedontheinformationandrequirementsprovidedbyPartyAandshallnotbeheldliableforanyinaccuraciesoromissionsintheconsultingservices.
7.TerminationofAgreement
7.1EitherPartyA,PartyB,orPartyCmayterminatethisAgreementupongivingwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithinareasonableperiodoftime.
7.2ThisAgreementmaybeterminatedbyeitherPartyA,PartyB,orPartyCupongivingwrittennoticeforanyreason,providedthatPartyBshallbeentitledtoreceivethepaymentfortheconsultingservicesrenderedpriortotheterminationdate.
