WHEREAS,theConsultingPartyisengagedinthebusinessofprovidingprofessionalconsultingservicesandtheClientrequiressuchservices;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,theConsultingPartyandtheClientherebyagreeasfollows:

1.ScopeofServices

TheConsultingPartyshallprovidetheClientwithbusinessconsultingserviceswithinthescopeandscopeoftheprojectagreeduponbybothparties(hereinafterreferredtoas"theProject").

2.DurationoftheContract

ThedurationofthisContractshallbe__________(hereinafterreferredtoas"theContractPeriod").TheContractshallautomaticallyrenewforanadditional__________unlesseitherpartygiveswrittennoticeofterminationatleast__________dayspriortotheexpirationoftheContractPeriod.

3.FeesandPaymentTerms

4.Confidentiality

5.IntellectualProperty

Allintellectualpropertyrights,includingbutnotlimitedtopatents,copyrights,trademarks,andtradesecrets,developedorcreatedduringtheperformanceofthisContractshallbelongtotheConsultingPartyunlessotherwiseagreeduponbybothparties.

6.Termination

ThisContractmaybeterminatedbyeitherpartyupontheoccurrenceofanyofthefollowingevents:

(a)FailureofeitherpartytocomplywiththetermsandconditionsofthisContract;

(b)Breachofconfidentialityobligations;

(c)TheterminationoftheProjectbyeitherparty;

(d)Anyothereventorcircumstancebeyondthereasonablecontrolofeitherparty.

7.DisputeResolution

IntheeventofanydisputearisingoutoforinconnectionwiththisContract,thepartiesshallendeavortoresolvethedisputethroughnegotiation.Ifthedisputecannotberesolvedthroughnegotiation,itshallbesubmittedtothejurisdictionofthecourtsof__________forresolution.

8.GoverningLaw

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof__________.

(d)AssistingtheClientinidentifyingandevaluatingpotentialbusinessopportunities;

(e)ConductingtrainingsessionsandworkshopsfortheClient'semployees.

2.DurationandTerm

2.1ThetermofthisAgreementshallcommenceontheEffectiveDateandshallcontinueforaperiodof__________(hereinafterreferredtoas"theInitialTerm").

4.1ThepartiesagreetomaintaintheconfidentialityofallinformationdisclosedbyeitherpartyduringthetermofthisAgreement,exceptasrequiredbylaworwiththepriorwrittenconsentofthedisclosingparty.

4.2TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisAgreement.

5.IntellectualProperty

5.1Allintellectualpropertyrights,includingbutnotlimitedtopatents,copyrights,trademarks,andtradesecrets,arisingfromtheServicesrenderedunderthisAgreementshallbetheexclusivepropertyoftheClient.

5.2TheConsultantherebyassignsallsuchintellectualpropertyrightstotheClient.

6.Termination

6.1ThisAgreementmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,providedthatsuchnoticeisgivenatleast__________dayspriortotheeffectivedateoftermination.

6.2Intheeventoftermination,theConsultantshallpromptlydeliverallworkinprogresstotheClientandtheClientshallpaytheConsultantforallservicesrenderedpriortotermination.

7.GoverningLawandJurisdiction

2.DurationandTerm

4.4TheClientshallhavetherighttoterminatethisAgreementiftheServiceProviderfailstomeettheagreed-uponservicestandards.

5.RightsandObligationsoftheServiceProvider

5.1TheServiceProviderhastherighttoreceivepaymentfortheServicesprovidedtotheClientinaccordancewiththetermsofthisAgreement.

5.2TheServiceProvidershallprovidetheServiceswithduecareandskill,inaccordancewithindustrystandardsandbestpractices.

5.3TheServiceProvidershallmaintaintheconfidentialityofanysensitiveorconfidentialinformationobtainedfromtheClient.

6.TerminationandExitStrategy

6.1ThisAgreementmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,providedthatsuchnoticeisgivenatleast__________dayspriortotheeffectivedateoftermination.

6.2Intheeventoftermination,theServiceProvidershallprovidetheClientwithadetailedreportoftheservicesrenderedandanyoutstandingissues.

7.LimitationsofLiability

7.1TheServiceProvidershallnotbeliableforanyindirect,special,orconsequentialdamagesarisingoutoforinconnectionwiththeprovisionoftheServices.

7.2ThetotalliabilityoftheServiceProvidertotheClientunderthisAgreementshallnotexceedthetotalfeespaidbytheClienttotheService
