1.SubjectMatteroftheContract

3.PriceandPaymentTerms

3.1ThepriceoftheGoodsshallbeasspecifiedintheListofGoods.Thepriceshallbedeemedtoincludealltaxes,fees,andothercharges.

3.2Thepaymenttermsshallbeasfollows:

5.InspectionandAcceptance

5.1TheBuyershallinspecttheGoodsuponreceiptandshallhavetherighttoacceptorrejecttheGoodswithin[InspectionPeriod,e.g.,7days]fromthedateofdelivery.

5.2IftheBuyerrejectstheGoods,theBuyershallnotifytheSellerinwritingwithintheInspectionPeriod,specifyingthereasonsfortherejection.TheSellershallberesponsibleforreplacingorrepairingthedefectiveGoodsorreturningthepaymentfortherejectedGoods.

6.ForceMajeure

6.1IntheeventthateitherpartyisunabletoperformitsobligationsunderthisContractduetoforcemajeure,suchasnaturaldisasters,war,orgovernmentactions,thepartyaffectedshallnotifytheotherpartyinwritingwithin[NoticePeriod,e.g.,3days]andshallbeexemptedfromliabilityfornon-performance.

7.GoverningLawandDisputeResolution

7.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningLawJurisdiction].

c)TerminatethisContractinaccordancewiththeprovisionsofthisContract.

6.Principal'sBreachandLimitations
