c.ProvidingongoingadviceandsupporttotheClientinimplementingthebusinessstrategy;

e.Anyotherservicesasagreeduponbybothparties.

2.TermandDuration

ThisContractshallbeeffectiveuponthedateofitsexecutionandshallremaininforceforaperiodof__________(hereinafterreferredtoas"theTerm").EitherpartymayterminatethisContractbyprovidingwrittennoticetotheotherpartyatleast__________dayspriortotheexpirationoftheTerm.

3.Compensation

4.Confidentiality

BothpartiesagreetomaintaintheconfidentialityofanyandallinformationdisclosedtothembytheotherpartyduringthecourseofthisContract.Suchinformationshallnotbedisclosedtoanythirdpartywithoutthepriorwrittenconsentofthedisclosingparty.

5.IntellectualProperty

Allintellectualpropertyrights,includingbutnotlimitedtocopyrights,trademarks,patents,andtradesecrets,arisingfromtheservicesrenderedunderthisContractshallbeownedbytheClient.TheConsultantherebyassignsallsuchrightstotheClient.

6.Liability

TheConsultantshallbeliableforanybreachofitsobligationsunderthisContract.However,theConsultantshallnotbeliableforanyindirect,special,orconsequentialdamagesarisingfromtheservicesrenderedunderthisContract.

7.GoverningLawandJurisdiction

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsoftheUnitedStates.AnydisputesarisingfromorinconnectionwiththisContractshallbesubmittedtotheexclusivejurisdictionofthecourtsof__________.

8.EntireAgreement

ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,anddiscussions,whetheroralorwritten,relatingtothesubjectmatterhereof.

6.ObligationsofPartyB
