3.WarrantiesandIndemnification

3.1TheSellerwarrantsthattheTechnologyshallbefreefromanydefectsinmaterialsandworkmanshipforaperiodof[Number]yearsfromtheEffectiveDateofthisAgreement.

3.2TheSellershallindemnifyandholdtheBuyerharmlessagainstanyclaims,liabilities,ordamagesarisingoutoforinconnectionwiththeSeller'sbreachofanywarrantyunderthisAgreement.

3.3TheBuyershallindemnifyandholdtheSellerharmlessagainstanyclaims,liabilities,ordamagesarisingoutoforinconnectionwiththeBuyer'smisuseoftheTechnology.

4.Confidentiality

4.1ThePartiesagreetokeepconfidentialanyandallinformationdisclosedtothembytheotherPartyinconnectionwiththisAgreement,includingbutnotlimitedtotechnicalspecifications,businessplans,andfinancialinformation.

4.2TheconfidentialityobligationsunderthisSectionshallsurvivetheterminationorexpirationofthisAgreement.

5.Termination

5.1ThisAgreementmaybeterminatedbyeitherPartyuponwrittennoticetotheotherPartyiftheotherPartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithin[Number]daysafterreceiptofwrittennotice.

5.2IntheeventofterminationofthisAgreement,theBuyershallpaytheSelleranyunpaidPurchasePrice,andtheSellershallreturnallcopiesoftheTechnologytotheBuyer.
