6.ConfidentialityandNon-CompeteClause

TheEmployeeagreestokeepallconfidentialinformationandtradesecretsoftheEmployerconfidential,andnottodiscloseorusesuchinformationforanypurposeotherthantheperformanceofhisduties.

Inaddition,theEmployeeagreestoobservethenon-competeclausesetforthintheattachedConfidentialityandNon-CompeteAgreement,whichisanintegralpartofthisAgreement.

7.TerminationofEmployment

ThisAgreementmaybeterminatedbyeitherpartyinaccordancewiththefollowingcircumstances:

a.Bymutualagreementbetweenbothparties.

b.IntheeventofabreachofthisAgreementbyeitherparty,thenon-breachingpartyshallhavetherighttoterminatethisAgreementuponwrittennotice.

c.Intheeventofaforcemajeure,suchasnaturaldisasters,wars,orotherunforeseeablecircumstances,eitherpartymayterminatethisAgreementuponwrittennotice.

8.GoverningLawandDisputeResolution

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Country/State].
