.2RejectionProcedureIfPartyAisnotsatisfiedwiththedrafteddocuments,theyshallprovidewrittennoticeofrejectiontoPartyB,specifyingthereasonsfortherejection.PartyBshallthenhave[Number]daystorevisethedocuments.7.3ConsequencesofRejectionIntheeventofrejection,PartyBshallmakethenecessaryrevisionstothedocumentsatnoadditionalcosttoPartyA.Ifthereviseddocumentsarestillnotacceptable,PartyAshallbeendtoarefundofthefeespaidfortherejecteddocuments.8.ModificationsandAmendments8.1ModificationProcessAnymodificationoramendmenttothiscontractshallbemadeinwritingandshallbesignedbothparties.8.2ApprovalofAmendmentsAnyamendmenttothiscontractshallbeeffectiveonlyuponthewrittenapprovalofbothparties.9.TerminationandCancellation9.1TerminationConditionsThiscontractmaybeterminatedeitherpartyupontheoccurrenceofthefollowingevents:FailuretoperformunderthetermsofthiscontractBreachofconfidentialityInsolvencyorbankruptcyofeitherparty9.2CancellationProcedureIntheeventofterminationorcancellation,thepartiesshall:NotifyeachotherinwritingoftheterminationorcancellationFulfillanyoutstandingobligationsunderthiscontract9.3ConsequencesofTerminationUponterminationorcancellation,PartyAshallbeendtoarefundofanyfeespaidforservicesnotyetrendered.10.DisputeResolution10.1DisputeResolutionMechanismThepartiesagreetoresolveanydisputesarisingoutoforinconnectionwiththiscontractthroughnegotiation.Ifnegotiationfails,thedisputeshallberesolvedarbitrationinaccordancewiththerulesofthe[NameofArbitrationInstitution].10.2GoverningLawThiscontractshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].10.3ArbitrationorLitigation11.ForceMajeure11.1DefinitionofForceMajeureForcemajeureshallmeananyeventorcircumstancebeyondthereasonablecontroloftheparties,includingbutnotlimitedtonaturaldisasters,war,strikes,andgovernmentactions.11.2ConsequencesofForceMajeureIfaforcemajeureeventpreventseitherpartyfromfulfillingitsobligationsunderthiscontract,theaffectedpartyshallnotifytheotherpartyimmediatelyandshallbeexcusedfromitsobligationsforthedurationoftheforcemajeureevent.12.MiscellaneousProvisions12.1EntireAgreementThiscontractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal.12.2SeverabilityIfanyprovisionofthiscontractisfoundtobeunenforceable,theremainingprovisionsshallremaininfullforceandeffect.12.3WaiverNowaiverofanybreachofthiscontractshallbedeemedawaiverofanyotherbreachofthiscontract.13.Signatures13.1AuthorizedSignatoriesThiscontractshallbeexecutedthedulyauthorizedrepresentativesoftheparties.13.2ExecutionofContractThiscontractshallbeexecutedintwo(2)counterparts,eachofwhichshallbedeemedanorigi
