NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesagreeasfollows:
1.FormationofJointVenture
1.1PartyAandPartyBherebyagreetoformajointventure,whichshallbeaseparatelegalentity(hereinafterreferredtoasthe"JointVenture").
1.2TheJointVentureshallbeincorporatedandregisteredunderthelawsof[Country/State]andshallhaveitsregisteredofficeat[Address].
2.CapitalContributions
2.1PartyAshallcontribute[amount]incashand[amount]inkind,andPartyBshallcontribute[amount]incashand[amount]inkind,ascapitalcontributionstotheJointVenture.

3.ManagementandOperation

3.2TheBoardshallmeetatleastonceayeartodiscussanddecideonthemajormattersoftheJointVenture.
4.ProfitandLossDistribution

4.2TheJointVentureshallprepareandsubmitfinancialstatementsannually,andtheprofitsandlossesshallbedistributedwithin[timeperiod]afterthefinancialstatementsareapproved.
5.DisputeResolution
5.1AnydisputesarisingfromorinconnectionwiththisAgreementshallberesolvedthroughamicablenegotiationsbetweentheparties.
5.2Ifthedisputescannotberesolvedthroughnegotiations,thepartiesagreetosubmitthedisputestoarbitrationin[Country/State]undertherulesofthe[ArbitrationInstitution].
6.Termination
6.1ThisAgreementmaybeterminatedbyeitherpartyupon[reasonfortermination],upon[timeperiod]priorwrittennoticetotheotherparty.
6.2UponterminationofthisAgreement,theJointVentureshallbedissolved,andtheassetsandliabilitiesoftheJointVentureshallbedistributedaccordingtotheprovisionsofthisAgreement.
7.GoverningLawandJurisdiction

4.2PartyAshallhavetherighttoreceiveamajorityshareoftheprofitsandlossesoftheJointVenture.

4.4PartyAshallberesponsiblefortheoverallmanagementandstrategicdirectionoftheJointVenture.
5.RightsandObligationsofPartyB
5.1PartyBshallhavetherighttoparticipateinthedecision-makingprocessoftheJointVenture.
5.2PartyBshallhavetherighttoreceiveashareoftheprofitsandlossesoftheJointVenture.
5.3PartyBshallberesponsiblefortheday-to-dayoperationsoftheJointVenture.
6.RightsandObligationsofPartyC

9.DefaultandConsequences
9.1IntheeventofadefaultbyPartyB,PartyAshallhavetherighttotakenecessarymeasurestoprotectitsinterests,includingbutnotlimitedtothesuspensionofPartyB'srightsintheJointVenture.
10.GoverningLawandJurisdiction
10.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Country/State].

5.3PartyAshallberesponsiblefortheday-to-dayoperationsoftheJointVenture.

9.DefaultandConsequences
9.1IntheeventofadefaultbyPartyA,PartyBshallhavetherighttotakenecessarymeasurestoprotectitsinterests,includingbutnotlimitedtothesuspensionofPartyA'srightsintheJointVenture.
10.GoverningLawandJurisdiction
