2.PriceandPaymentTerms

4.InspectionandQuality

IftheinspectionshowsthattheGoodsdonotconformtothespecificationsandqualityrequirementsasspecifiedinExhibitA,theBuyershallhavetherighttorejecttheGoodsandclaimforcompensationfromtheSeller.

5.ForceMajeure

NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtowar,naturaldisasters,fires,floods,andgovernmentregulations.

6.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country/City].AnydisputesarisingfromorinconnectionwiththisContractshallberesolvedthroughamicablenegotiations.Ifthepartiesfailtoreachanagreement,thedisputeshallbesubmittedtothecompetentcourtof[Country/City]forarbitration.

7.PartyB'sInterests

(b)PartyBshallhavetherighttoclaimcompensationfromPartyAintheeventoftheGoods'non-compliancewiththeagreed-uponspecifications.

8.ThirdParty'sRightsandObligations

(a)TheThirdPartyshallperformtheServicestothebestofitsabilityandinaccordancewiththetermsofthisContract;

10.PartyB's违约及限制条款

(a)IntheeventofPartyB'sfailuretopaytheagreed-uponpriceontime,PartyBshallbeliableforlatepaymentpenaltiesasspecifiedinExhibitB;

(b)PartyBshallnotassignitsrightsandobligationsunderthisContracttoanythirdpartywithoutthepriorwrittenconsentofPartyA.

11.GoverningLawandDisputeResolution
