REPRESENTATIONSANDWARRANTIES:

2.TheClientrepresentsandwarrantsthathe/shehastheauthoritytoenterintothisAgreementandtobindtheClienttothetermsandconditionsherein.

OBLIGATIONS:

1.TheConsultantagreestoprovidetheservicesdescribedinthisAgreementtotheClientinaprofessionalanddiligentmanner.

2.TheConsultantagreestocomplywithallapplicablelaws,regulations,andindustrystandardsintheperformanceoftheservices.

3.TheClientagreestoprovidetheConsultantwithallnecessaryinformation,resources,andaccessrequiredfortheConsultanttoperformtheservices.

4.TheClientagreestopaytheConsultantthefeesasspecifiedinthisAgreement.

FEEANDPAYMENT:

1.TheConsultantshallbeentitledtoreceiveafeeof[Amount]fortheservicesprovidedunderthisAgreement.

2.TheClientshallpaytheConsultantthefeeinaccordancewiththepaymentscheduleattachedheretoasExhibitA.

TERMANDTERMINATION:

3.TheThirdPartyagreestoassisttheConsultantintheperformanceoftheservicesandtoactasaliaisonbetweentheClientandtheConsultant.

4.TheClientagreestopaytheConsultantthefeesasspecifiedinthisAgreement.

5.TheThirdPartyagreestoprovidetheClientwithitsexpertiseandresourcestoensurethesuccessfulcompletionoftheproject.

FEEANDPAYMENT:

3.TheClienthastherighttoterminatethisAgreementimmediatelyintheeventofamaterialbreachbytheConsultantortheThirdParty.

4.TheClienthastherighttoseekdamagesfromtheConsultantortheThirdPartyforanylossesincurredduetotheirbreachofthisAgreement.

OBLIGATIONSANDRESTRICTIONSOFTHECONSULTANTANDTHETHIRDPARTY:

1.TheConsultantandtheThirdPartyagreenottodiscloseanyconfidentialinformationoftheClienttoanythirdpartywithouttheClient'spriorwrittenconsent.

2.TheConsultantandtheThirdPartyagreetocomplywithallapplicablelaws,regulations,andindustrystandardsintheperformanceoftheservices.

3.TheConsultantandtheThirdPartyagreenottoengageinanyactivitythatcouldadverselyaffecttheClient'sbusinessinterestsorreputation.

4.TheConsultantandtheThirdPartyagreenottoassignorsubcontracttheirobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheClient.

4.TheConsultantandtheThirdPartyhavetherighttoterminatethisAgreementimmediatelyintheeventofamaterialbreachbytheClient.

OBLIGATIONSANDRESTRICTIONSOFTHECLIENT:

1.TheClientagreesnottodiscloseanyconfidentialinformationoftheConsultantortheThirdPartytoanythirdpartywithouttheirpriorwrittenconsent.

2.TheClientagreestocomplywithallapplicablelaws,regulations,andindustrystandardsintheperformanceoftheservices.

3.TheClientagreesnottoengageinanyactivitythatcouldadverselyaffectthereputationorbusinessinterestsoftheConsultantortheThirdParty.

4.TheClientagreesnottoassignorsubcontractitsobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheConsultantandtheThirdParty.
