c.ThePartnersshallholdregularmeetingstodiscussandresolveanyissuesarisinginthemanagementofthePartnership.

6.TerminationofPartnership

a.ThePartnershipmaybeterminateduponthemutualconsentofthePartners,subjecttotheprovisionssetforthherein.

b.ThePartnershipmayalsobeterminatedbyeitherPartnerupongivingwrittennoticetotheotherPartner,providedthatsuchnoticeshallbegivenatleastninety(90)dayspriortotheeffectivedateoftermination.

7.GoverningLawandDisputeResolution
