1.ProductDescription:

3.DeliveryTerms:

3.2TheProductshallbedeliveredinaccordancewiththefollowingterms:
a.Deliveryshallbemadeinfulllots,andnopartialdeliveryshallbeallowedunlessotherwiseagreedbybothparties;
b.TheProductshallbeproperlypackedandmarkedwiththenecessaryinformation,includingbutnotlimitedtothenameoftheProduct,quantity,andbatchnumber.
4.InspectionandAcceptance:
4.1PartyBshallinspecttheProductupondeliveryandconfirmthequantityandqualityoftheProductwithin[InspectionPeriod]fromthedateofdelivery.
4.2IfPartyBfindsanydiscrepanciesinthequantityorqualityoftheProduct,PartyBshallnotifyPartyAinwritingwithin[NotificationPeriod]fromthedateofdelivery.PartyAshallpromptlyinvestigateandrectifythediscrepancies,atitsownexpense,within[RectificationPeriod]fromthedateofnotification.
5.Warranty:
5.1PartyAwarrantsthattheProductshallbefreefromdefectsinmaterialandworkmanshipforaperiodof[WarrantyPeriod]fromthedateofdelivery.
5.2IftheProductisfoundtobedefectiveduringtheWarrantyPeriod,PartyBshallnotifyPartyAinwriting,andPartyAshall,atitsownexpense,repairorreplacethedefectiveProduct,orprovidearefundtoPartyB,asagreeduponbybothparties.
6.IntellectualPropertyRights:
6.1PartyAshallretainallintellectualpropertyrightsrelatedtotheProduct,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets.
6.2PartyBshallnotuse,copy,modify,ordiscloseanyintellectualpropertyrightsrelatedtotheProductwithoutthepriorwrittenconsentofPartyA.
7.ForceMajeure:
7.1NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,naturaldisasters,war,terrorism,orgovernmentactions.
8.GoverningLawandDisputeResolution:
8.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
8.2AnydisputesarisingoutoforinconnectionwiththisContractshallbesettledthroughfriendlynegotiationsbetweentheparties.Ifthepartiesfailtoreachanamicablesettlementwithin[NegotiationPeriod],thedisputeshallbesubmittedtothe[ArbitrationInstitution]forarbitrationinaccordancewithitsrules.
9.EntireAgreement:

5.PartyC'sRights:

6.PartyA'sRights:
6.1PartyAshallhavetherightto:

b.MaintainingthequalityandspecificationsoftheProductasagreeduponinthisContract;
c.ReceivingfullpaymentfortheProductsoldunderthisContract.
8.PartyB'sObligationsandLimitations:
8.1PartyBshall:
a.PaythePricefortheProductinaccordancewiththepaymenttermssetforthinthisContract;
b.AcceptdeliveryoftheProductwithintheDeliveryPeriod;
c.NotengageinanyactivitythatmayadverselyaffectthereputationorinterestsofPartyA.
9.PartyB'sLimitations:
9.1PartyBshallnot:
a.UsetheProductinanymannerthatmayinfringeupontheintellectualpropertyrightsofPartyA;
b.SellordistributetheProducttoanythirdpartywithoutthepriorwrittenconsentofPartyA;
c.MakeanyclaimsorrepresentationsregardingtheProductthatarefalseormisleading.
10.违约及限制条款：
10.1PartyBshallbeliableforanybreachofthisContract,includingbutnotlimitedtolatepayment,failuretoacceptdelivery,orfailuretocomplywiththetermsandconditionsofthisContract.Intheeventofabreach,PartyAshallbeentitledtoterminatethisContractandseekdamagesfromPartyB.

14.PurposeandSignificanceofPartyA'sDominance:
PartyA'sdominanceinthisContractisbasedonitsroleastheproducerandselleroftheProduct.Byprioritizingitsrightsandinterests,PartyAensuresthatitreceivesfullpaymentfortheProduct,maintainscontroloverthequalityandspecificationsoftheProduct,andhastheabilitytoterminatetheContractintheeventofabreachbyPartyBorPartyC.ThisapproachprotectsPartyA'sinvestmentandbusinessinterests,whilealsopromotingafairandefficienttransactionprocess.
