7.IntellectualPropertyRights

PartyAherebygrantstoPartyBanon-exclusive,non-transferablelicensetouseanyintellectualpropertyrightsrelatedtotheGoodssolelyforthepurposeofthisContract.

8.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[countryorstate].AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthrough[methodofdisputeresolution,e.g.,arbitration,litigation].

9.EntireAgreement

7.PartyA'sRightsandInterests

8.PartyB'sObligationsandLimitations

b)EnsurethattheGoodsarefreefromanyliens,encumbrances,orotherthird-partyclaims;
