1.Definitions
ForthepurposesofthisContract,thefollowingtermsshallhavethemeaningsassignedtothem:

2.ScopeoftheContract
2.1PartyAagreestosupplytheGoodsandprovidetheServicestoPartyBinaccordancewiththetermsandconditionssetforthinthisContract.
2.2PartyBagreestopurchasetheGoodsandaccepttheServicesfromPartyAinaccordancewiththetermsandconditionssetforthinthisContract.
3.DeliveryandAcceptance
3.1PartyAshalldelivertheGoodstoPartyBat[DeliveryAddress]within[DeliveryPeriod].
3.2PartyBshallaccepttheGoodsandServicesupondeliveryanduponverificationofcompliancewiththespecificationsandrequirementssetforthinthisContract.
4.Payment
4.1PartyBshallpaythePricetoPartyAwithin[PaymentPeriod]fromthedateofinvoice.
4.2ThePriceshallbepayablein[PaymentCurrency]andshallbesubjectto[PaymentTerms].
5.WarrantiesandLiability
5.1PartyAwarrantsthattheGoodsandServicesshallconformtothespecificationsandrequirementssetforthinthisContract.
5.2PartyAshallbeliableforanydefectsintheGoodsandServicesthatarisefromthematerials,workmanship,ordesignoftheGoodsandServices.
6.IntellectualProperty
6.1AllintellectualpropertyrightsinandtotheGoodsandServicesshallremainthepropertyofPartyA.
6.2PartyBshallnotacquireanyrightsorlicensestotheintellectualpropertyrightsintheGoodsandServices.
7.Confidentiality
7.1PartyAandPartyBagreetomaintaintheconfidentialityofanyconfidentialinformationdisclosedtotheminconnectionwiththisContract.
7.2TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisContract.
8.GoverningLawandDisputeResolution
8.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
8.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthrough[DisputeResolutionMechanism].
9.Miscellaneous
9.1ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,understandings,andrepresentations,whetherwrittenororal,relatingtothesubjectmatterofthisContract.
9.2AnyamendmentormodificationofthisContractshallbeeffectiveonlyifitisinwritingandsignedbybothParties.

2.3PartyCagreestoprovidetheThird-PartyServicestoPartyAasrequiredtoensurethesuccessfulexecutionoftheContract.
3.DeliveryandAcceptance
3.1PartyAshalldelivertheGoodstoPartyBat[DeliveryAddress]within[DeliveryPeriod].
3.2PartyBshallaccepttheGoodsandServicesupondeliveryanduponverificationofcompliancewiththespecificationsandrequirementssetforthinthisContract.

4.Payment

5.2PartyAshallbeliableforanydefectsintheGoodsandServicesthatarisefromthematerials,workmanship,ordesignoftheGoodsandServices.
5.3PartyCshallbeliableforanyfailuretoprovidetheThird-PartyServicesinaccordancewiththeagreedtermsandconditions.
6.IntellectualProperty
6.1AllintellectualpropertyrightsinandtotheGoodsandServicesshallremainthepropertyofPartyA.
6.2PartyBshallnotacquireanyrightsorlicensestotheintellectualpropertyrightsintheGoodsandServices.
6.3PartyCshallnotinfringeupontheintellectualpropertyrightsofPartyAoranyotherthirdparty.
7.Confidentiality
7.1PartyAandPartyBagreetomaintaintheconfidentialityofanyconfidentialinformationdisclosedtotheminconnectionwiththisContract.
7.2TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisContract.
7.3PartyCshallalsobeboundbytheconfidentialityprovisionsofthisContract.
8.GoverningLawandDisputeResolution
8.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
8.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthrough[DisputeResolutionMechanism].
9.RightsandObligationsofPartyA
9.1PartyAshallhavetherighttorequestPartyCtoprovideadditionaloralternativeThird-PartyServicesiftheexistingservicesarefoundtobeinadequate.
9.2PartyAshallhavetherighttoterminatethisContractifPartyBfailstomaketimelypaymentsorifPartyBbreachesanymaterialtermofthisContract.
9.3PartyAshallhavetherighttoinspectandapprovethequalityoftheGoodsandServicesbeforeacceptance.
10.LimitationsandRestrictionsofPartyB
10.1PartyBshallnotresellorotherwisetransfertheGoodsorServicestoanythirdpartywithoutthepriorwrittenconsentofPartyA.
10.2PartyBshallnotusetheGoodsorServicesforanypurposeotherthanthatspecifiedinthisContract.
10.3PartyBshallnotmodifyoraltertheGoodsorServiceswithoutthepriorwrittenconsentofPartyA.
11.Termination
11.1ThisContractmaybeterminatedbyeitherPartyupon[TerminationNoticePeriod]writtennoticetotheotherParty.
11.2Intheeventoftermination,PartyAshallbeentitledtorecoveranypaymentsmadebyPartyBpriortotheterminationdate.
