I.Introduction

PartyAandPartyBenteredintoa[ServiceContractName](the"OriginalContract")on[originalcontractsigningdate],wherebyPartyBprovidedcertainservicestoPartyA.However,dueto[reasonsfortermination],bothpartieshaveagreedtoterminatetheOriginalContract.ThisAgreementisherebyexecutedtoformalizethetermsandconditionsofsuchtermination.

II.DescriptionoftheServices

TheservicesprovidedbyPartyBundertheOriginalContractwereasfollows:

1.ServiceScope:PartyBwasresponsiblefor[describethemainscopeofservices,e.g.,providingsoftwaredevelopmentandmaintenanceservicesforPartyA'senterpriseresourceplanningsystem].Thisincludedbutwasnotlimitedto[listanyadditionalaspectsoftheservicescope].

2.ServiceStandards:PartyBwasrequiredtoadheretothefollowingservicestandards:

QualityAssurance:Ensurethatalldeliverablesmetthehighestindustrystandardsandpliedwithrelevantregulations.

Timeliness:Completealltasksandprojectswithintheagreedupontimeframes.

Communication:MaintainregularandeffectivemunicationwithPartyA,providingprogressreportsandrespondingpromptlytoanyqueriesorconcerns.

III.RightsandObligationsoftheParties

A.RightsofPartyA

1.PartyAhastherighttoterminatetheOriginalContractinaccordancewiththetermsofthisAgreement.

2.PartyAhastherighttorequestPartyBtoprovideanynecessarydocumentationorinformationrelatedtotheterminatedservices.

B.RightsofPartyB

1.PartyBhastherighttoreceivepaymentforservicesrendereduptothedateofterminationinaccordancewiththetermsoftheOriginalContract.

2.PartyBhastherighttorequestPartyAtocooperateinthetransferofanyrelevantdataormaterialsrelatedtotheservices.

C.ObligationsofPartyA

1.PartyAshallpayPartyBtheoutstandingamountforservicesrendereduptothedateofterminationwithin[paymentduedate]daysoftheexecutionofthisAgreement.

2.PartyAshallcooperatewithPartyBintheorderlytransitionoftheservices,includingprovidingaccesstorelevantsystems,data,andpersonnelasrequired.

D.ObligationsofPartyB

1.PartyBshallimmediatelyceaseprovidingtheservicesspecifiedintheOriginalContractasoftheeffectivedateoftermination.

2.PartyBshallreturntoPartyAallproperty,includingbutnotlimitedtoequipment,software,documentation,anddata,thatPartyBhasinitspossessionorcontrolandthatisrelatedtotheservicesprovidedundertheOriginalContract.

3.PartyBshallindemnifyandholdPartyAharmlessfromandagainstanyandallclaims,damages,losses,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithPartyB'sperformanceoftheservicesundertheOriginalContractpriortotermination.

IV.Termination

1.ThisAgreementshalltakeeffectasof[effectivedateoftermination].

2.TheOriginalContractshallbeterminatedupontheexecutionofthisAgreement,andneitherpartyshallhaveanyfurtherobligationsorliabilitiesundertheOriginalContract,exceptasexpresslyprovidedinthisAgreement.

VI.Confidentiality

2.Bothpartiesshallmaintaintheconfidentialityofsuchconfidentialinformationandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaw.

3.ThisconfidentialityobligationshallsurvivetheterminationofthisAgreementforaperiodof[confidentialityperiod]years.

VII.IntellectualPropertyRights

1.AllintellectualpropertyrightsarisingoutoforinconnectionwiththeservicesprovidedundertheOriginalContractshallbelongtoPartyA.

2.PartyBshallnotclaimanyownershiporintellectualpropertyrightsinanydeliverablesorworkproductcreatedintheperformanceoftheservices.

3.PartyBshallcooperatewithPartyAtoobtainandmaintainanynecessaryintellectualpropertyrightsrelatedtotheservices.

VIII.GoverningLawandJurisdiction

1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[governingjurisdiction].

2.AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsin[jurisdictionfordisputes].

Ix.EntireAgreement

1.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

2.Nomodification,amendment,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

x.Severability

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.

xI.Waiver

NowaiverbyeitherpartyofanybreachofthisAgreementshallbedeemedawaiverofanysubsequentbreach.

xII.Notices

1.Allnotices,requests,demands,andothermunicationsrequiredorpermittedtobegivenunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygivenifdeliveredpersonally,sentbyregisteredorcertifiedmail,returnreceiptrequested,orbyovernightcourierservice,tothefollowingaddresses:
