2.1Delivery

2.3.2TheSellershallbeliableforanydefectsordamagesinthegoodsarisingfromtheSeller'snegligenceorfault.
2.3.3TheBuyershallhavetherighttoreturnthedefectivegoodswithin[timeframeforreturn]andseekarefundorreplacement.
2.4ForceMajeure
2.4.1Intheeventofanyunforeseeablecircumstancesbeyondthereasonablecontrolofeitherparty,includingbutnotlimitedtowar,naturaldisasters,andgovernmentregulations,theaffectedpartyshallbeexemptedfromtheperformanceofitsobligationsunderthisContract.
2.4.2Theaffectedpartyshallnotifytheotherpartyinwritingoftheoccurrenceofsuchunforeseeablecircumstanceswithin[timeframefornotification].
2.5DisputeResolution
2.5.1AnydisputesarisingfromorinconnectionwiththisContractshallberesolvedthroughamicablenegotiationsbetweentheparties.
2.5.2Ifthedisputescannotberesolvedamicably,thepartiesagreetosubmitthemattertoarbitrationinaccordancewiththerulesof[arbitrationinstitution].
2.6GoverningLawandJurisdiction

1.SaleofGoods

1.2TheSellerwarrantsthattheGoodsshallconformtothespecificationsandqualitystandardssetforthinExhibitA.
2.Principal'sRightsandObligations
2.1ThePrincipalhastherighttoinspecttheGoodsupondeliveryandtorejectanyGoodsthatdonotconformtothespecificationsandqualitystandards.
2.2ThePrincipalshallpaytheSellerthepurchasepricefortheGoodswithin[timeframeforpayment].
2.3ThePrincipalshallprovidetheSellerwithallnecessaryinformationanddocumentationrequiredforthetransaction.
3.ThirdParty'sRightsandObligations
3.1TheThirdPartyshallfacilitatethetransactionbetweenthePrincipalandtheSellerbyprovidingthefollowingservices:
3.1.1AssistingwiththenegotiationandexecutionoftheContract;
3.1.2ProvidinglogisticalsupportandarrangingforthetransportationoftheGoods;
3.1.3Ensuringcompliancewithapplicablelawsandregulations.
3.2TheThirdPartyshallnotbeliableforanyfailureordelayintheperformanceofitsobligationsduetocircumstancesbeyonditsreasonablecontrol.
4.Seller'sRightsandObligations
4.1TheSellerhastherighttorequestthePrincipaltoprovideanyadditionalinformationordocumentationnecessaryforthetransaction.
4.2TheSellershalldelivertheGoodstothePrincipalinaccordancewiththetermsofthisContract.
4.3TheSellershallprovidethePrincipalwithawarrantyfortheGoodsforaperiodof[warrantyperiod].
5.Principal'sRightsinCaseofSeller'sDefault
5.1IntheeventoftheSeller'sfailuretodelivertheGoodsinaccordancewiththetermsofthisContract,thePrincipalshallhavetherightto:

6.Seller'sRightsinCaseofPrincipal'sDefault
6.1IntheeventofthePrincipal'sfailuretopaythepurchasepriceinaccordancewiththetermsofthisContract,theSellershallhavetherightto:
6.1.1TerminatethisContractandretaintheGoodsuntilpaymentisreceived;
6.1.2PursueanylegalremediesavailabletoitagainstthePrincipal;
6.1.3SeekcompensationforanylossesincurredasaresultofthePrincipal'sdefault.
7.LimitationofLiability
7.1TheSellerandtheThirdPartyshallnotbeliableforanyindirect,special,orconsequentialdamagesarisingoutoforinconnectionwiththisContract.
8.GoverningLawandJurisdiction

3.ThirdParty'sRightsandObligations
3.1TheThirdPartyshallprovidefinancingservicestothePrincipalinanamountsufficienttocoverthepurchasepriceoftheGoods.
3.2TheThirdPartyshallhavetherighttoreceivepaymentsfromthePrincipalinaccordancewiththefinancingagreement.
3.3TheThirdPartyshallhavetherighttotakepossessionoftheGoodsintheeventofthePrincipal'sdefaultonthefinancingagreement.
4.Seller'sRightsandObligations
4.1TheSellershalldelivertheGoodstothePrincipalinaccordancewiththetermsofthisContract.
4.2TheSellershallprovidethePrincipalwithawarrantyfortheGoodsforaperiodof[warrantyperiod].
4.3TheSellershallhavetherighttoreceivepaymentsfromthePrincipalinaccordancewiththetermsofthefinancingagreement.
5.Principal'sRightsinCaseofSeller'sDefault

5.1.1TerminatethisContractandseekarefundofanypaymentsmade;
5.1.2PursueanylegalremediesavailabletoitagainsttheSeller;
5.1.3SeekcompensationforanylossesincurredasaresultoftheSeller'sdefault.
6.Seller'sRightsinCaseofPrincipal'sDefault
6.1IntheeventofthePrincipal'sfailuretomakepaymentstotheSellerortheThirdParty,theSellershallhavetherightto:
6.1.1TerminatethisContractandretaintheGoodsuntilpaymentisreceived;
6.1.2PursueanylegalremediesavailabletoitagainstthePrincipal;
6.1.3SeekcompensationforanylossesincurredasaresultofthePrincipal'sdefault.
7.LimitationofLiability
