2.EachPartyrepresentsandwarrantsthatithasthenecessaryauthoritytoenterintothisAgreementandtoperformitsobligationshereunder.

3.EachPartyrepresentsandwarrantsthatitisnotcurrentlyinviolationofanyapplicablelaws,regulations,ororders.

OBLIGATIONS:

7.PartyA,PartyB,andPartyCshall,jointlyandseverally,keeptheJointVenture'sconfidentialinformationconfidentialandnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherParties.

TERMANDTERMINATION:

1.ThisAgreementshallbeeffectiveuponthedateofitsexecutionbyallPartiesandshallremainineffectforaperiodof[number]yearsfromthedateofitsexecution.
