6.Indemnification

ThePrincipalshallindemnifyandholdtheAgentharmlessfromandagainstanyandallclaims,liabilities,losses,damages,andexpensesarisingoutoforinconnectionwiththeAgent'sperformanceofitsdutiesunderthisContract.

7.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofthejurisdictionspecifiedintheattachedExhibitA.AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthrougharbitrationinaccordancewiththerulesoftheInternationalChamberofCommerce.

8.EntireAgreement

ThisContractconstitutestheentireagreementbetweenthePrincipalandtheAgentwithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetherwrittenororal,betweentheparties.

12.TerminationandBreach
