协议合同范本英文ContractAgreementTemplateThisAgreementismadeandenteredintoasof[date]byandbetween:PartyA:Name:[Company/IndividualName]Address:[CompanyAddress]ContactPerson:[ContactName]ContactInformation:[PhoneNumber/Email]PartyB:Name:[Company/IndividualName]Address:[CompanyAddress]ContactPerson:[ContactName]ContactInformation:[PhoneNumber/Email]I.SubjectMatterA.DescriptionofGoodsorServicesPartyAagreestoprovidethefollowinggoodsorservicestoPartyB:[详细描述标的物或服务内容，包括规格、数量、质量标准、交付时间、交付地点等]B.IntellectualPropertyRightsInthecasewherethegoodsorservicesinvolveintellectualpropertyrights,PartyAwarrantsthatithasthelegalrighttouseandtransfersuchintellectualpropertyrights,andthatthegoodsorservicesprovidedshallnotinfringeupontheintellectualpropertyrightsofanythirdparty.II.RightsandObligationsofthePartiesA.RightsofPartyA1.PartyAhastherighttoreceivepaymentfromPartyBinaccordancewiththetermsofthisAgreement.2.PartyAhastherighttoinspectandverifytheplianceofPartyBwiththetermsofthisAgreement.B.ObligationsofPartyA1.PartyAshallprovidethegoodsorservicesinaccordancewiththespecifications,quantity,qualitystandards,deliverytimeanddeliverylocationsetforthinthisAgreement.2.PartyAshallberesponsibleforanydefectsordeficienciesinthegoodsorservicesprovided,andshalltakeappropriatemeasurestoremedysuchdefectsordeficiencieswithinareasonabletime.3.PartyAshallprotecttheconfidentialityofanyinformationobtainedfromPartyBduringtheperformanceofthisAgreement.C.RightsofPartyB1.PartyBhastherighttoreceivethegoodsorservicesprovidedbyPartyAinaccordancewiththetermsofthisAgreement.2.PartyBhastherighttoinspectandverifythequalityandplianceofthegoodsorservicesreceived.D.ObligationsofPartyB1.PartyBshallpayPartyAtheagreeduponpriceforthegoodsorservicesinaccordancewiththepaymenttermssetforthinthisAgreement.2.PartyBshallcooperatewithPartyAintheperformanceofthisAgreement,includingprovidingnecessaryinformationandassistance.3.PartyBshallprotecttheconfidentialityofanyinformationobtainedfromPartyAduringtheperformanceofthisAgreement.III.PaymentTermsA.PriceThetotalpriceforthegoodsorservicesprovidedbyPartyAtoPartyBis[AmountinWords](infigures:$[Amount]).B.PaymentMethodPartyBshallpayPartyAby[PaymentMethod,e.g.,banktransfer,check,etc.]within[NumberofDays]daysafterreceivingtheinvoicefromPartyA.C.InvoicePartyAshallissueaninvoicetoPartyBuponthedeliveryofthegoodsorpletionoftheservices.Theinvoiceshallincludedetailssuchasthedescriptionofthegoodsorservices,quantity,price,andtotalamount.IV.DeliveryandAcceptanceA.Delivery1.PartyAshalldeliverthegoodsorservicestotheagreedupondeliverylocationonorbeforethedeliverydatespecifiedinthisAgreement.2.PartyAshallberesponsibleforarrangingthetransportationandensuringthesafeandtimelydeliveryofthegoodsorservices.B.Acceptance1.PartyBshallinspectthegoodsorservicesuponreceipt.IfPartyBdiscoversanydefectsordeficiencies,PartyBshallnotifyPartyAinwritingwithin[NumberofDays]daysafterreceipt.2.IfPartyBfailstonotifyPartyAwithinthespecifiedtime,thegoodsorservicesshallbedeemedtohavebeenacceptedbyPartyB.V.WarrantyandLiabilityA.Warranty1.PartyAwarrantsthatthegoodsorservicesprovidedshallbeofmerchantablequalityandfitfortheintendedpurpose.2.Thewarrantyperiodshallbe[NumberofMonths/Years]fromthedateofdeliveryorpletionoftheservices.B.Liability1.IntheeventofanybreachofthisAgreementbyPartyA,PartyAshallbeliableforanylosses,damages,orexpensessufferedbyPartyBasaresultofsuchbreach.2.IntheeventofanybreachofthisAgreementbyPartyB,PartyBshallbeliableforanylosses,damages,orexpensessufferedbyPartyAasaresultofsuchbreach.VI.ConfidentialityA.ConfidentialInformation1.EachpartyacknowledgesthatduringtheperformanceofthisAgreement,itmayhaveaccesstoconfidentialinformationoftheotherparty,includingbutnotlimitedtobusinesssecrets,technicalinformation,customerlists,andfinancialinformation.2.Confidentialinformationshallnotincludeinformationthatisalreadyinthepublicdomainorthatislawfullyobtainedbyapartyfromathirdparty.B.ObligationtoMaintainConfidentiality1.Eachpartyshallkeeptheconfidentialinformationoftheotherpartyconfidentialandshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.2.Eachpartyshalltakereasonablemeasurestoprotecttheconfidentialityoftheotherparty'sconfidentialinformation,includingimplementingappropriatesecurityproceduresandsafeguards.C.Exceptions1.Apartymaydisclosetheotherparty'sconfidentialinformationifrequiredtodosobylaworbyacourtorder.2.Apartymaydisclosetheotherparty'sconfidentialinformationtoitsemployees,agents,orcontractorswhoneedtoknowsuchinformationforthepurposeofperformingthisAgreement,providedthatsuchemployees,agents,orcontractorsarealsoboundbyconfidentialityobligations.VII.TerminationandSeverabilityA.Termination1.ThisAgreementmaybeterminatedbyeitherpartyupon[NumberofDays]days'writtennoticetotheotherpartyintheeventofamaterialbreachofthisAgreementbytheotherparty.2.ThisAgreementmayalsobeterminatedbyeitherpartyuponmutualagreement.B.SeverabilityIfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.VIII.GoverningLawandJurisdictionA.GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].B.JurisdictionAnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubmittedtotheexclusivejurisdictionofthecourtsof[Jurisdiction].Ix.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.x.AmendmentsandWaiversNoamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.xI.NoticesAllnotices,requests,demands,andothermunicationsrequiredorpermittedtobegivenunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygivenifdeliveredperson
