ThisWarrantyAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween[CompanyName1],a[typeofentity]organizedandexistingunderthelawsof[jurisdiction]withitsprincipalplaceofbusinessat[address](hereinafterreferredtoas"Seller"),and[CompanyName2],a[typeofentity]organizedandexistingunderthelawsof[jurisdiction]withitsprincipalplaceofbusinessat[address](hereinafterreferredtoas"Buyer").

1.DescriptionoftheSubjectMatter

SelleragreestoprovideBuyerwith[descriptionoftheproductorservice],includingbutnotlimitedto[detailedfeatures,specifications,andponents].Theproductorserviceshallbedeliveredinaccordancewiththetermsandconditionssetforthhereinandanyadditionalspecificationsoragreementsmutuallyagreeduponbytheparties.

2.WarrantyPeriod

ThewarrantyperiodfortheproductorserviceprovidedbySellershallmenceonthedateofdeliverytoBuyerandshallextendforaperiodof[numberofmonths/years](the"WarrantyPeriod").

3.Seller'sWarranties

3.1QualityWarranty

Sellerwarrantsthattheproductorserviceshallbeofmerchantablequalityandfitfortheordinarypurposesforwhichsuchproductsorservicesaremonlyused.Sellerfurtherwarrantsthattheproductorserviceshallconformtoallapplicablelaws,regulations,andindustrystandards,aswellasanyspecificspecificationsorrequirementsagreeduponbytheparties.

3.2DefectWarranty

SellerwarrantsthattheproductorserviceshallbefreefromdefectsinmaterialsandworkmanshipduringtheWarrantyPeriod.IntheeventthatBuyerdiscoversanydefectintheproductorserviceduringtheWarrantyPeriod,BuyershallnotifySellerinwritingwithin[numberofdays]ofsuchdiscovery.Sellershallthen,atitsoption,eitherrepairorreplacethedefectiveproductorserviceatnochargetoBuyer.

3.3PerformanceWarranty

SellerwarrantsthattheproductorserviceshallperforminaccordancewiththespecificationsandperformancecriteriasetforthinthisAgreementandanyadditionalagreementsbetweentheparties.Iftheproductorservicefailstoperformaswarranted,Sellershalltakeallreasonablestepstoremedythedefectornonperformance,includingbutnotlimitedtoprovidingtechnicalsupport,replacingparts,ormodifyingtheproductorservice.

4.Buyer'sRightsandObligations

4.1InspectionRights

BuyershallhavetherighttoinspecttheproductorserviceupondeliverytoverifythatitconformstothetermsandconditionsofthisAgreement.Buyershallconductsuchinspectionwithin[numberofdays]ofdelivery.IfBuyerdiscoversanynonconformityduringtheinspection,BuyershallnotifySellerinwritingwithin[numberofdays]ofsuchdiscovery.

4.2ProperUseandMaintenance

BuyershallusetheproductorserviceinaccordancewiththeinstructionsandspecificationsprovidedbySeller.Buyershallalsotakereasonablestepstomaintaintheproductorserviceingoodworkingcondition,includingbutnotlimitedtoperformingregularmaintenance,usingappropriatematerialsandsupplies,andprotectingtheproductorservicefromdamageormisuse.

4.3Cooperation

BuyershallcooperatewithSellerintheeventofanyclaim,investigation,orrepairrelatedtotheproductorservice.ThiscooperationshallincludeprovidingSellerwithaccesstotheproductorservice,relevantinformation,andanyassistancenecessarytoresolvetheissue.

5.LimitationsofLiability

5.1ExclusiveRemedy

Buyer'sexclusiveremedyforanybreachofthisAgreementbySellershallbetheremediesprovidedherein,namelyrepair,replacement,orrefundatSeller'soption.Buyershallnotbeentitledtoanyotherremedies,includingbutnotlimitedtoconsequentialdamages,incidentaldamages,orlossofprofits,unlessotherwiseprovidedbylaw.

5.2Seller'sLiabilityCap

InnoeventshallSeller'stotalliabilitytoBuyerunderthisAgreementexceedthetotalamountpaidbyBuyerfortheproductorservicegivingrisetotheclaim.

6.Indemnification

SellershallindemnifyandholdBuyerharmlessfromandagainstanyandallclaims,damages,losses,liabilities,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithanybreachofthisAgreementbySeller,includingbutnotlimitedtoanyclaimsforinfringementofintellectualpropertyrights,personalinjury,orpropertydamagecausedbytheproductorserviceprovidedbySeller.

7.Termination

EitherpartymayterminatethisAgreementuponwrittennoticetotheotherpartyiftheotherpartymateriallybreachesthisAgreementandfailstocuresuchbreachwithin[numberofdays]ofreceiptofwrittennoticethereof.Intheeventoftermination,SellershallrefundtoBuyeranyunearnedportionofthepurchaseprice,andBuyershallreturntoSelleranyundeliveredorunusedportionoftheproductorservice.

8.GoverningLawandJurisdiction

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[jurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtslocatedin[jurisdiction].

9.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.AnymodificationsoramendmentstothisAgreementshallbeinwritingandsignedbybothparties.

10.Severability

IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallinnowayinanywaybeaffectedorimpaired.

11.Waiver

NowaiverbyeitherpartyofanybreachofthisAgreementshallbedeemedawaiverofanysubsequentbreach.

DefectWarranty:SpecifiestheSeller'sobligationtorepairorreplacedefectiveproductsorservices.ThenoticeperiodwithinwhichtheBuyermustnotifytheSellerisimportanttoensuretimelyresolutionofissues.IfaBuyerwaitstoolongtoreportadefect,itmightbemoredifficultfortheSellertodeterminethecauseandprovideaneffectivesolution.

PerformanceWarranty:Guaranteesthattheproductorservicewillperformaspromised.Thisisessentialforproductsorservicesthatareexpectedtoachievecertainresults,suchasamanufacturingmachinethatissupposedtoproduceaspecificnumberofunitsperhourwithacertainlevelofprecision.

4.Buyer'sRightsandObligations

InspectionRights:AllowstheBuyertoverifytheconformityoftheproductorserviceupondelivery.ThishelpstheBuyerprotecttheirinterestsfromreceivinganonpliantitem.IftheBuyerfailstoinspectwithinthespecifiedtimeframe,theymaylosetheirrighttoclaimnonconformitybasedontheinspectionresults.

5.LimitationsofLiability

ExclusiveRemedy:LimitstheBuyer'sremediestothosespecifiedintheAgreement,mainlyrepair,replacement,orrefund.ThisrestrictstheBuyer'sabilitytoclaimothertypesofdamages,suchasconsequentialdamages,whichcanbesignificantinsomebusinesstransactions.TheSellerincludesthisprovisiontomanageitspotentialliability.

Seller'sLiabilityCap:SetsamaximumlimitontheSeller'sliability,whichisusuallytheamountpaidbytheBuyerfortherelevantproductorservice.ThisprotectstheSellerfromexcessiveliabilityclaims.

6.Indemnification

ThisprovisionrequirestheSellertoprotecttheBuyerfromvariousclaimsrelatedtotheproductorservice.If,forexample,theproductcausesinjurytoathirdpartyduetoadefect,andthethirdpartysuestheBuyer,theSellerwillindemnifytheBuyer.Thisisanimportantrisksharingmechanismbetweentheparties.

7.Termination

AllowseitherpartytoterminatetheAgreementincaseofamaterialbreachbytheotherparty.Thecureperiodwithinwhichthebreachingpartycanfixtheproblemgivesthemachancetorectifythesituationbeforetermination.Terminationhasconsequencesforbothparties,suchastherefundofunearnedpurchasepriceandthereturnofundeliveredorunuseditems.
