合同延期补充协议英文版ThisContractExtensionSupplementaryAgreement(hereinafterreferredtoasthe"Agreement")ismadeandenteredintoasof[date]byandbetweenthefollowingparties:PartyA:Name:[CompanyNameofPartyA]Address:[AddressofPartyA]LegalRepresentative:[NameofLegalRepresentativeofPartyA]PartyB:Name:[CompanyNameofPartyB]Address:[AddressofPartyB]LegalRepresentative:[NameofLegalRepresentativeofPartyB]I.IntroductionWHEREAS,PartyAandPartyBenteredintoa[OriginalContractName](hereinafterreferredtoasthe"OriginalContract")on[OriginalContractDate]forthepurposeof[describetheoriginalpurposeofthecontract];WHEREAS,dueto[reasonsfortheextension],thepartieswishtoextendtheperformanceperiodoftheOriginalContract;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesherebyagreeasfollows:II.ExtensionoftheContractPeriod1.ThetermoftheOriginalContractshallbeextendedfromtheoriginalexpirationdateof[OriginalExpirationDate]to[NewExpirationDate].2.Duringtheextendedperiod,therightsandobligationsofthepartiesundertheOriginalContractshallremaininfullforceandeffect,exceptasotherwiseprovidedinthisAgreement.III.SubjectMatterorServiceDescription1.[DescriptionoftheSubjectMatterorService][Provideadetaileddescriptionofthegoods,services,orothersubjectmattercoveredbytheOriginalContractandthisAgreement.Includespecifications,quantities,qualityrequirements,deliveryorperformanceschedules,etc.,asapplicable.]Forexample,ifitisaservicecontract,itmaystate:"PartyBshallprovideprofessional[servicename]servicestoPartyAinaccordancewiththeindustrystandardsandthespecificrequirementssetforthinAttachment[number]ofthisAgreement.Theservicesshallincludebutnotbelimitedto[listspecificserviceitems],andshallbepletedwithin[timelimit]daysupontheeffectivedateofthisAgreement."Ifitisagoodssalescontract,itmaystate:"PartyAshallsell[quantity]unitsof[productname]toPartyB.The[productname]shallmeetthefollowingqualitystandards:[listqualitycriteria].Deliveryshallbemadeat[deliverylocation]within[deliveryperiod]daysafterthereceiptofPartyB'swrittennotice."2.AmendmentsorAdjustmentsIfthereareanyamendmentsoradjustmentstothesubjectmatterorservicedescriptionduringtheextendedperiod,thepartiesshallenterintoawrittensupplementaryagreementormakeappropriatewrittenconfirmations.IV.RightsandObligationsofthePartiesA.RightsandObligationsofPartyA1.PartyAshallhavetherightto:RequirePartyBtoperformitsobligationsunderthisAgreementandtheOriginalContractinaccordancewiththeagreedtermsandconditions.InspectandreviewPartyB'sperformanceoftheservicesordeliveryofthegoodstoensurepliancewiththecontractrequirements.Receiveanyreports,documentation,orotherinformationrelatedtotheperformanceofthecontractasrequired.2.PartyAshallbeobligedto:PaythecontractpriceorservicefeestoPartyBinaccordancewiththepaymenttermsspecifiedinthisAgreementandtheOriginalContract.ProvidePartyBwithanynecessarycooperation,information,orassistancerequiredfortheperformanceofthecontract,includingbutnotlimitedtoprovidingaccesstorelevantfacilities,data,orpremises.Complywithanyapplicablelaws,regulations,andregulatoryrequirementsrelatedtothecontractperformance.B.RightsandObligationsofPartyB1.PartyBshallhavetherightto:ReceivethecontractpriceorservicefeesfromPartyAinaccordancewiththeagreedpaymentterms.RequestPartyAtoprovideanynecessarycooperation,information,orassistancefortheperformanceofthecontract.2.PartyBshallbeobligedto:PerformitsobligationsunderthisAgreementandtheOriginalContractwithduediligenceandinaccordancewiththehighestprofessionalstandards.Ensurethatthegoodsorservicesprovidedmeetthequality,quantity,anddeliveryrequirementsspecifiedinthecontract.KeepconfidentialanyconfidentialinformationobtainedfromPartyAduringtheperformanceofthecontract.Complywithallapplicablelaws,regulations,andregulatoryrequirementsinconnectionwiththeperformanceofthecontract.NotifyPartyAimmediatelyinwritingofanycircumstancesthatmayaffectitsabilitytoperformthecontractasscheduled,andtakeallreasonablemeasurestominimizetheimpactonthecontractperformance.V.PaymentTerms1.ThepaymenttermsshallremainthesameasthosespecifiedintheOriginalContract,unlessotherwiseagreeduponbythepartiesinwriting.2.PartyAshallmakethepaymenttoPartyBwithin[numberofdays]daysafterreceivingPartyB'sinvoiceandrelevantsupportingdocuments.VI.Confidentiality1.EachpartyacknowledgesthatduringtheperformanceofthisAgreement,itmayhaveaccesstocertainconfidentialinformationoftheotherparty,includingbutnotlimitedtobusinesssecrets,technicalknowhow,customerinformation,andfinancialdata.2.Thepartiesshallkeepsuchconfidentialinformationstrictlyconfidentialandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty,exceptasrequiredbylaworregulatoryauthorities.3.ThisconfidentialityobligationshallsurvivetheterminationorexpirationofthisAgreementforaperiodof[numberofyears]years.VII.IntellectualPropertyRights1.AnyintellectualpropertyrightsarisingoutoforinconnectionwiththeperformanceofthisAgreement,includingbutnotlimitedtopatents,trademarks,copyrights,andtradesecrets,shallbeownedbythepartythatcreatedordevelopedthem,unlessotherwiseagreeduponinwriting.2.Eachpartyshallrespecttheintellectualpropertyrightsoftheotherpartyandshallnotuse,copy,modify,ordistributeanyintellectualpropertyoftheotherpartywithoutthepriorwrittenconsentoftheowner.VIII.ForceMajeure1."ForceMajeure"shallmeananyeventorcircumstancethatisbeyondthereasonablecontrolofaparty,includingbutnotlimitedtonaturaldisasters,actsofGod,wars,riots,strikes,lockouts,governmentactions,andothersimilareventsthatpreventapartyfromperformingitsobligationsunderthisAgreement.2.IfapartyisunabletoperformitsobligationsunderthisAgreementduetoForceMajeure,itshallnotifytheotherpartyinwritingassoonaspossibleandshallprovidedetailedinformationabouttheForceMajeureeventanditsexpectedduration.3.ThepartyaffectedbyForceMajeureshallbeexcusedfromperformingitsobligationsduringtheperiodofForceMajeure,providedthatittakesallreasonablemeasurestominimizetheimpactoftheForceMajeureeventontheperformanceofthecontract.4.IftheForceMajeureeventcontinuesforaperiodof[numberofdays]daysormore,eitherpartymayterminatethisAgreementbygivingwrittennoticetotheotherparty,withoutincurringanyliabilityforsuchtermination.IX.Termination1.ThisAgreementmaybeterminated:Bymutualwrittenagreementoftheparties;Byeitherpartyupon[numberofdays]days'writtennoticetotheotherpartyincaseofamaterialbreachofthisAgreementbytheotherparty;Inaccordancewiththeprovisionsofapplicablelawsandregulations.2.UponterminationofthisAgreement,thepartiesshall:CeaseperformingtheirrespectiveobligationsunderthisAgreement,exceptasrequiredtowindupanyunfinishedbusiness;Settlealloutstandingpaymentsandaccountsbetweenthem;Returnordestroyanyconfidentialinformationoftheotherpartyintheirpossession.X.LiabilityandIndemnification1.Eachpartyshallindemnifyandholdtheotherpartyharmlessfromandagainstanyandalllosses,damages,liabilities,claims,costs,andexpenses(includingreasonableattorneys'fees)arisingoutoforinconnectionwithitsbreachofthisAgreementoritsperformanceofthecontract.2.TheliabilityofeachpartyunderthisAgreementshallbelimitedtotheamountofdirectdamagesactuallysufferedbytheotherparty,andinnoeventshalleitherpartybeliableforanyindirect,consequential,special,orpunitivedamages,evenifsuchpartyhasbeenadvisedofthepossibilityofsuchdamages.XI.DisputeResolution1.AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughfriendlyconsultationsbetweentheparties.Ifthepartiesareunabletoresolvethedisputesthroughconsultationswithin[numberofdays]days,eitherpartymaysubmitthedisputesto[nameofarbitrationinstitutionorcourt]forarbitrationorlitigationinaccordancewiththefollowingprovisions:[Ifarbitrationischosen,statethearbitrationrulesandtheplaceofarbitration.Forexample:"Anydisputesshallbesubmittedtothe[ArbitrationInstitutionName]forarbitrationinaccordancewithitsarbitrationrules.Thearbitrationshallbeconductedin[PlaceofArbitration],andthelanguageofthearbitrationshallbe[Language]."][Iflitigationischosen,statethejurisdictionofthecourt.Forexample:"Anydisputesshallbesubjecttotheexclusivejurisdictionofthe[CourtName]locatedin[Jurisdiction]."]2.Duringthependencyofanyarbitrationorlitigation,thepartiesshallco
