电商合作协议合同英文版ThisEmerceCooperationAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween:PartyA:Name:[CompanyNameofPartyA]RegisteredAddress:[AddressofPartyA]LegalRepresentative:[NameofLegalRepresentativeofPartyA]ContactInformation:[Phonenumber,email,etc.ofPartyA]PartyB:Name:[CompanyNameofPartyB]RegisteredAddress:[AddressofPartyB]LegalRepresentative:[NameofLegalRepresentativeofPartyB]ContactInformation:[Phonenumber,email,etc.ofPartyB]I.SubjectMatterofCooperation1.EmerceBusinessScopePartyAandPartyBagreetocooperateinthefieldofemerce.PartyAshallberesponsibleforprovidingcertainemerceplatformresources,includingbutnotlimitedtowebsitespace,technicalsupportfortheemerceplatform,andpromotionchannelsrelatedtotheplatform.PartyBshallberesponsibleforprovidingproductsorservicestobesoldontheemerceplatform.Thespecificproductsorservicesaredetailedasfollows:PartyB'sproducts/servicesshallcover[listthecategoriesofproductsorservices,e.g.,electronicdevices,clothing,softwareservices].Eachcategoryshallbefurtherdescribedwithspecificproductmodels,features,servicescopes,etc.Forexample,forelectronicdevices,itincludessmartphonesofdifferentbrandsandmodels,withdetailedspecificationssuchasscreensize,cameraresolution,andstoragecapacity;forclothing,itincludesvariousstylesofmen'sandwomen'sclothing,withdescriptionsoffabric,color,andsizerange.2.CooperationModelThetwopartiesshalladoptacooperativemodelbasedonmissionsales.PartyBshallberesponsiblefordeliveringtheproductsorservicestotheendusersthroughPartyA'semerceplatform.PartyAshallassistPartyBinpromotingtheproductsorservicesontheplatformandproviderelevanttransactionsupportservices.PartyAshallchargeamissiononthesalesamountofPartyB'sproductsorservicessoldthroughtheplatform.Themissionrateshallbe[X]%oftheactualtransactionamount.II.RightsandObligationsofthePartiesA.RightsandObligationsofPartyA1.RightsPartyAhastherighttoreceivethemissionasagreedinaccordancewiththesalesvolumeofPartyB'sproductsorservicesonitsemerceplatform.PartyAhastherighttomonitorPartyB'sbusinessoperationsontheplatformtoensurepliancewiththeplatform'srulesandrelevantlawsandregulations.2.ObligationsPartyAshallprovidePartyBwithastableandreliableemerceplatform,includingnormalwebsiteaccess,shoppingcartfunctions,paymentprocessinginterfaces,andcustomerservicechannels.PartyAshallensurethattheplatformoperatesnormallyduringthecooperationperiod,andincaseofanytechnicalproblems,PartyAshalltakepromptmeasurestorepairandresumethenormaloperationoftheplatform.PartyAshallberesponsibleforpromotingPartyB'sproductsorservicesontheplatformthroughvariousmarketingchannels,suchasbanneradvertisements,searchengineoptimization,andemailmarketing.PartyAshallusereasonableeffortstoincreasetheexposureandpopularityofPartyB'sproductsorservicesontheplatform,aimingtoimprovethesalesvolume.PartyAshallprovidePartyBwithtimelytransactioninformation,includingorderdetails,paymentstatus,andcustomerfeedback.PartyAshallalsoassistPartyBinhandlingcustomerinquiriesandplaintsrelatedtotheproductsorservicessoldontheplatform.B.RightsandObligationsofPartyB1.RightsPartyBhastherighttousePartyA'semerceplatformtopromoteandsellitsproductsorservices.PartyBhastherighttoreceivecustomerinformationprovidedbyPartyAinaccordancewiththelawandrelevantagreementsforthepurposeofaftersalesserviceandcustomerrelationshipmanagement.2.ObligationsPartyBshallensurethattheproductsorservicesprovidedareofhighquality,meettherelevantnationalstandardsandindustrynorms,andplywithallapplicablelawsandregulations.PartyBshallberesponsibleforanylegalissuesarisingfromthequality,safety,andlegalityoftheproductsorservices.PartyBshalldelivertheproductsorservicestotheendusersinatimelymannerafterreceivingtheorders.PartyBshallberesponsibleforthepackaging,shipping,andinstallation(ifapplicable)oftheproducts,andshallensurethattheproductsreachtheendusersingoodconditionwithintheagreeddeliveryperiod.PartyBshallberesponsibleforprovidingaftersalesservicefortheproductsorservices,includingbutnotlimitedtoproductrepair,replacement,andtechnicalsupport.PartyBshallrespondtocustomerinquiriesandplaintsinatimelymannerandresolvethemtothesatisfactionofthecustomers.PartyBshallpaythemissiontoPartyAinaccordancewiththeagreedmissionrateandpaymentschedule.PartyBshallalsoberesponsibleforalltaxesandfeesrelatedtoitsbusinessoperationsontheplatform.III.PaymentTerms1.CommissionPaymentPartyBshallpaythemissiontoPartyAona[paymentfrequency,e.g.,monthly/quarterly]basis.Thepaymentshallbemadewithin[X]daysaftertheendofeachpaymentperiod.PartyBshallprovidePartyAwithanaccuratesalesreportforeachpaymentperiod,includingthedetailsofproductsalesvolume,salesamount,andmissionamount.2.PaymentMethodThepaymentshallbemadebybanktransfer.PartyBshalltransferthemissionamounttothebankaccountdesignatedbyPartyA.PartyAshallprovidePartyBwiththebankaccountinformationinwritingatleast[X]daysbeforethefirstpayment.IV.Confidentiality1.ConfidentialInformationDefinedDuringthecooperationperiod,bothpartiesmayhaveaccesstoeachother'sconfidentialinformation,whichincludesbutisnotlimitedtobusinessplans,productdesigns,customerlists,technicalknowhow,andmarketingstrategies.2.ObligationofConfidentialityBothpartiesshallkeepconfidentialallconfidentialinformationobtainedfromtheotherparty.Withoutthepriorwrittenconsentoftheotherparty,neitherpartyshalldisclose,use,orpermitanythirdpartytodiscloseorusesuchconfidentialinformationforanypurposeotherthantheperformanceofthisAgreement.3.ExceptionsThisconfidentialityobligationshallnotapplytoinformationthat:isalreadypubliclyknownorbespubliclyknownthroughnofaultofthereceivingparty;isrequiredtobedisclosedbylaworbyagovernmentregulatoryagency;isdisclosedbyonepartytoitslegal,accounting,orotherprofessionaladvisorsinconnectionwiththeperformanceofthisAgreement,providedthatsuchadvisorsarealsoboundbyconfidentialityobligations.V.IntellectualPropertyRights1.OwnershipofExistingIntellectualPropertyEachpartyshallretainownershipofitsexistingintellectualpropertyrights,includingbutnotlimitedtotrademarks,patents,copyrights,andtradesecrets.2.IntellectualPropertyRightsGeneratedduringCooperationForanyintellectualpropertyrightsgeneratedduringthecooperation,suchasnewproductdesigns,marketingslogans,orsoftwaredevelopedjointly,theownershipshallbedeterminedasfollows:Iftheintellectualpropertyrightsaregeneratedsolelybyoneparty,suchpartyshallretaintheownership.Iftheintellectualpropertyrightsarejointlygeneratedbybothparties,bothpartiesshalljointlyownsuchintellectualpropertyrightsandshallsharetherightsandobligationsrelatedtotheuse,protection,andexploitationofsuchintellectualpropertyrightsinaccordancewiththeprincipleoffairnessandmutualbenefit.3.UseofIntellectualPropertyRightsBothpartiesshallhavetherighttousetheotherparty'sintellectualpropertyrightssolelyforthepurposeofperformingthisAgreement.Withoutthepriorwrittenconsentoftheowneroftheintellectualpropertyrights,neitherpartyshalluse,license,transfer,orotherwisedisposeofsuchintellectualpropertyrightsforanyotherpurpose.VI.TermandTermination1.TermoftheAgreementThisAgreementshalltakeeffectasofthedateofsigningandshallremaininforceforaperiodof[X]years.Aftertheexpirationoftheinitialterm,theAgreementshallbeautomaticallyrenewedforanadditional[X]yearterm,unlesseitherpartygiveswrittennoticeofterminationtotheotherpartyatleast[X]daysbeforetheexpirationoftheinitialtermorthethencurrentrenewalterm.2.TerminationbyAgreementBothpartiesmayterminatethisAgreementatanytimebymutualwrittenagreement.3.TerminationforBreachIfeitherpartymateriallybreachesthisAgreementandfailstocuresuchbreachwithin[X]daysafterreceivingwrittennoticefromtheotherparty,thenonbreachingpartyhastherighttoterminatethisAgreementimmediately.4.EffectofTerminationUponterminationofthisAgreement,bothpartiesshallimmediatelyceaseallactivitiesrelatedtothisAgreement.PartyBshallpayallmissionsandotheramountsowedtoPartyAuptothedateoftermination.PartyAshallprovidePartyBwithreasonableassistanceintransferringtherelevantbusinessoperationsandcustomerinformation,andbothpartiesshallcooperatetopletethenecessaryproceduresfortheterminationofthecooperation.VII.LiabilityforBreach1.GeneralProvisionEachpartyshallbeliableforitsownbreachofthisAgreementandshallpensatetheotherpartyforalllossessufferedasaresultofsuchbreach.2.LiabilityforEconomicLossesIfPartyBfailstopaythemissiontoPartyAinaccordancewiththeagreement,PartyBshallpaytheoverdueamountplusinterestattherateof[X]%perannum.Inaddition,PartyBshallpensatePartyAforanydirecteconomiclossescausedbysuchdelay,suchaslossesduetomissedbusinessopportunitiesoradditionalcostsincurredbyPartyAinchasingthepayment.IfPartyAfailstoprovidetheagreedplatformservicesorpromotePartyB'sproductsorservicesasrequired,PartyAshallpensatePartyBforthedirecteconomiclossescausedbysuchfailure,suchasreducedsalesvolumeordamagetoPartyB'sbrandimage.3.LiabilityforLegalConsequencesIfeitherparty'sbreachofthisAgreementresultsinlegaldisputesorclaimsagainsttheotherparty,thebreachingpartyshallberesponsibleforhandlingsuchdisputesandclaimsandindemnifyingthenonbreachingpartyforalllosses,includingattorney'sfees,litigationcosts,anddamagesawardedbythecourt.VIII.DisputeResolution1.NegotiationIncaseofanydisputearisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiation.Thenegotiationshallmencewithin[X]daysafteronepartynotifiestheotherpartyoftheexistenceofthedispute.2.ArbitrationorLitigationIfthenegotiationfails,thedisputeshallberesolvedinaccordancewiththefollowingprovisions:Arbitration:Thepartiesagreethatanydisputeshallbesubmittedto[ArbitrationInstitutionName]forarbitrationinaccordancewithitsarbitrationrules.Thearbitrationawardshallbefinalandbindingonbothparties.Litigation:Asanalternativetoarbitration,eitherpartymayfilealawsuitinthe[Jurisdiction]courtwithjurisdictionoverthematter.IX.Miscellaneous1.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.
